1. CONDIZIONI GENERALI DI VENDITA
Le condizioni generali di vendita, qui di seguito riportate, si
intendono valide per qualsiasi ordine pervenuto alla Cipì srl
e costituiscono parte essenziale di ciascun ordine. Eventuali
modifiche alle presenti clausole nonché eventuali condizio-
ni particolari dovranno essere espressamente concordate per
iscritto.
2. ORDINI
Gli ordini acquisiti dalla nostra organizzazione di vendita
sono soggetti all’approvazione di Cipì srl
3. TRASPORTO
Il committente nel proprio interesse, deve verificare, prima
del ritiro, l’integrità dei colli e la quantità della merce ricevu-
ta. Eventuali reclami dovranno essere avanzati direttamente
al vettore al momento della consegna apponendo la dicitura
“ RISERVA SPECIFICA” , in caso di rotture dovrà comuni-
carlo a Cipì non oltre 5 giorni dal ricevimento.
4. CONSEGNE
La merce si intende resa franco nostro stabilimento di Bagna-
ra di Romagna. I termini di consegna hanno carattere pura-
mente indicativo e non hanno valore contrattuale.
5. PREZZI
Tutti i prezzi indicati sono intendersi IVA ESCLUSA. Cipì
srl si riserva la facoltà insindacabile di apportare variazioni
ai prezzi di listino pubblicati nel caso in cui le componenti di
costo dei singoli articoli lo rendessero necessario.
6. RESI E RECLAMI
Eventuali contestazioni devono essere inviate per iscritto Cipì
srl entro 8 giorni dal ricevimento della merce. La restituzione
della merce deve essere preventivamente autorizzata da Cipì
srl. La merce verrà accreditata al prezzo di acquisto decurtato
del 15% per oneri amministrativi.
7. MISURE E COLORI
Le indicazioni di misure, disegni e colori su qualsiasi pubbli-
cazione CIPI’ srl sono da intendersi a puro titolo informativo
e possono essere soggette a modifiche senza alcun preavviso.
8. PAGAMENTI
I pagamenti devono essere effettuati a Cipì srl alla scadenza
stabilita e per l’importo pattuito. Il ritardo del pagamento
delle fatture oltre i termini concordati dà luogo all’immediata
decorrenza degli interessi bancari e comporta la conseguente
sospensione delle forniture.
9. PROPRIETA’ DELLA MERCE
Cipì srl resta proprietaria della merce fino al completo paga-
mento della stessa da parte del cliente.
10. FORO COMPETENTE
Per qualsiasi ed eventuale controversia si intende competente
il Foro di Ravenna.
1. GENERAL TERMS AND CONDITIONS OF SALES.
The general selling conditions herein govern all Orders made
with CIPI’ Ltd. These conditions together with the Purcha-
ser Order constitute the entire contract between the Seller
and the Purchaser for the supply of Products. No other terms
and conditions will apply. The Contract cannot be varied un-
less the Seller agree to vary it in writing.
2. ORDERS
The Seller reserves the right to accept or reject any Order sub-
mitted by the Purchaser.
3. TRANSPORT
The principal in his own interest, must check, before col-
lection, the integrity of the packages and the quantity of the
goods received. Any complaints must be made directly to the
carrier at the time of delivery by affixing the words “ SPECI-
FIC RESERVE” , in case of breakage must notify Cipì no la-
ter than 5 days from receipt.
4. DELIVERY
All transportation and other charges including freight char-
ges for returned goods are for the account of Purchaser. Any
timescales or dates indicated for delivery of Products are for
guidance only and time for delivery will not be the essence in
this Agreement.
5. PRICES
The price payable for the products under these terms and
conditions is exclusive of VAT. The Seller reserves the right
to change prices for Products in this catalogue at any time to
reflect increased costs.
6. RETURNS AND CLAIMS POLICY
Any claim must be presented in writing and within 8 days
from the date of delivery. In no event shall any goods be re-
turned by Purchaser without the express written authoriza-
tion of Seller. Goods are to be returned by Purchaser to CIPI’
plant in Bagnara di Romagna. Purchaser will be credited for
the cost of the returned goods, less 15% of non-refundable
administrative fee.
7. SIZE AND COLOURS
Sizes, pictures, and colours of Products in any CIPI’ Ltd.
publication are for guidance only, and the Seller reserves the
right to change them at any time.
8. PAYMENTS
In accordance with Seller’s terms and deadlines, payments
are due in full and within deadlines. Purchaser fails to make
payments on any agreement between Purchaser and Seller in
accordance with Seller’s terms and deadlines, Seller reserves
the right to charge interest at the applicable rate charged by
Seller bank, and to cancel the unshipped balance of any Or-
der without any liability.
9. POSSESSORY LIEN ON GOODS
Purchaser agrees that Seller shall have a possessory lien on go-
ods until receipt of payment.
10. JURISDICTION
ìeller and Purchaser agree to submit any disputes to the exclu-
sive jurisdiction of the Italian court of Ravenna.
