These General Terms and Conditions govern \nsales contracts entered into by Kartell S.p.A. \n(“Kartell”) and its clients, professionals that \npurchase and resell (“Client”) the Goods \npresented in the Kartell catalogue (“Goods”). \nThe General Terms and Conditions of Sale \nmay be waived or modified only through a \nwritten agreement between Kartell and the \nClient.\nII. ORDERS \n1. Each Product order constitutes an irrevoca-\nble offer by the Client. Kartell reserves the \nright at its sole discretion, to accept, modify \nor refuse orders at its sole discretion, or to \nsuspend delivery should the Client not pro-\nvide Kartell with guarantees for the request \nand not respect the sales guidelines issued \nby Kartell from time to time.\n2. Any Product order cancellation or rejection \nat receipt will result in the application of a \npenalty on the Client of 30% (thirty percent) \nof the amount indicated on the invoice, with-\nout prejudice to claims for greater damages.\n4. Should the Goods be shipped outside EU \nterritory, the Client must provide Kartell all \ndocuments certifying Product delivery within \none (1) month. At delivery, the Client must carefully inspect \nthe quantity and condition of Product pack-\naging. In any case, Kartell's liability is limited to \nthe value of the defective goods: Therefore, \nKartell may not be held liable, among other \nthings, for expenses sustained by the Client \nor end customer or for any other damage \nclaimed (direct or indirect).\n6. The bulbs contained in the packaging \nof each lamp are supplied by Kartell \nas a courtesy in order to provide the \nbest service to our customers. Howev-\ner, since these accessories are not directly \nmanufactured by Kartell but supplied by \nexternal suppliers, Kartell does not guaran-\ntee their correct function. In case of bulb fault \nor failure, it is the customer's responsibility \nto replace the bulb, in compliance with the \ntechnical information in the catalogue, in the \ndedicated section, or in the instruction book-\nlet enclosed with the product, to which ref-\nerence is made in full, and for which Kartell \nassumes no liability.\nVIII. COMPETENT COURT \n1. Any disputes arising directly or indirectly \nfrom the contractual relationship are the \nexclusive competence of the Milan court.\n2.
