ORDINI\na. \nOgni ordine trasmesso a Italcer dal Compratore, dagli agenti rappresentanti o incaricati è da \nintendersi accettato sempre salvo approvazione della direzione di Italcer. \nb. \nTutte le ordinazioni, anche verbali, salvo accordi contrari scritti, si intendono sempre accettate \nda Italcer alle presenti condizioni generali, senza bisogno di richiamarle. In assenza di precise \neccezioni scritte, si intende che il Compratore accetta integralmente le condizioni particolari e \ngenerali di vendita. \nc. \nQualora si verifichino cause di forza maggiore, Italcer potrà recedere in parte o in toto dal \ncontratto di vendita. \n3. PREZZI\na. \nI prezzi si intendono per merce resa EXW (Incoterms 2020) presso il magazzino di volta in volta \nindicato da Italcer, IVA esclusa. \nb. \nI prezzi degli imballaggi sono indicati nel relativo listino e variano a seconda delle diverse \ntipologie di imballaggio.\n4. CONSEGNA\na. \nI termini di consegna concordati con Italcer sono da intendersi puramente indicativi e non \nvincolanti per Italcer. Eventuali ritardi nella consegna non danno mai il diritto al Compratore di \nannullare il contratto, né di pretendere il risarcimento di eventuali danni diretti o indiretti, ogni \neccezione esclusa. \nb. \nItalcer si riserva il diritto di effettuare ragionevoli consegne parziali.\nc. \nLa merce si intende acquistata dal Compratore EXW (Incoterms 2020) presso il magazzino di \nvolta in volta indicato da Italcer. La merce viaggia sempre e comunque a rischio e pericolo del \nCompratore, anche qualora il prezzo fosse franco destino. \nd. \nIl Compratore è obbligato a ritirare i Prodotti entro 2 (due) giorni lavorativi dalla data di “merce \npronta” indicata nella comunicazione inviata da Italcer.\nTrascorsi 60 (sessanta) giorni dalla data indicata come “merce pronta” senza che il Compratore \nabbia provveduto al ritiro, il contratto di compravendita si intenderà automaticamente risolto ai \nsensi dell’art. 1456 c.c. \nItalcer, inoltre, si riserva il diritto di annullare l'ordine e di addebitare al Compratore:\n(i) \nper i Prodotti standard: un importo a titolo di spese di movimentazione e gestione, \ncompreso tra un minimo del 20% e un massimo del 50% del valore dei Prodotti;\n(ii) \nper i Prodotti Custom Made: il 100% del valore di vendita dei Prodotti, oltre ai costi di \nmovimentazione e smaltimento.\ne. \nAl ricevimento del materiale, il Compratore deve verificare accuratamente: \n(i) \nche il numero di colli consegnati sia coerente con quelli ordinati ed indicati sui documenti \ndi trasporto; \n(ii) \nlo stato fisico dei colli, controllando che questi non siano stati manomessi e\u002Fo \ndanneggiati; \n(iii) \ndifetti nella merce immediatamente visibili alla consegna. \nIn caso di anomalie \u002F difetti dovrà apporre la dicitura “accettato con riserva”, inserendo il \nmotivo direttamente sul documento di consegna. Entro 24 (ventiquattro) ore dalla consegna, il \nCompratore dovrà altresì comunicare a Italcer per iscritto al seguente indirizzo email \nclaim@gruppoitalcer.it le anomalie e\u002Fo i difetti riscontrati. \nItalcer non accetterà alcuna contestazione relativamente a quanto sopra se non annotata sul \ndocumento di consegna e comunicata nei suddetti termini. \n5. PAGAMENTO e RISERVA DI PROPRIETA’: \na. \nI pagamenti devono essere eseguiti a favore di Italcer, secondo le modalità concordate \ne riportate nella fattura. I termini di pagamento sono tassativi e il loro mancato rispetto \ndeterminerà l’applicazione, sulla somma dovuta, degli interessi moratori al tasso previsto e \nstabilito dal D.lgs. n. 231 del 2002, senza necessità di formale costituzione in mora.\nb. \nIn caso di ritardo nel pagamento totale o anche parziale di una fattura, Italcer, salvi tutti gli altri \nsuoi diritti, avrà facoltà di sospendere le ulteriori consegne, anche se queste fossero dovute in \ndipendenza di altri contratti ed anche di pretendere l’immediato e intero pagamento di tutti i \nProdotti ordinati, o di averlo in altro modo garantito.\nc. \nSi concorda espressamente che la merce consegnata rimane di proprietà di Italcer fino al \ncompleto pagamento del prezzo di acquisto da parte del Compratore. Il mancato pagamento \ndi una delle rate può comportare automaticamente, senza formalità o preavviso, il recupero \ndella merce da parte di Italcer ed il Compratore sarà tenuto a restituirla senza indugio. In caso \ndi sequestro o di qualsiasi altro intervento da parte di terzi sulla merce venduta, il Compratore \ndovrà notificare a tali terzi l'esistenza della presente clausola di riserva di proprietà e informare \ntempestivamente Italcer, al fine di consentire la tutela dei propri diritti.\n6. RECLAMI\na. \nNon si accettano reclami per vizi palesi o accertabili con diligenza qualificata, per materiali già \nposati in opera. \nb. \nI vizi occulti devono essere comunicati a Italcer per iscritto (claim@gruppoitalcer.it) entro 8 \ngiorni dalla loro scoperta e in ogni caso non oltre entro 24 (ventiquattro) mesi dalla consegna.\nc. \nFatto salvo quanto previsto dal precedente punto 4 e., reclami per vizi e difetti dei Prodotti \ndevono contenere:\n(i) \ndati del Prodotto e numero di lotto;\n(ii) \ndettagli e spiegazione del presunto difetto;\n(iii) \nadeguata documentazione fotografica.\nd. \nItalcer garantisce, in caso di Prodotto difettoso\u002Fviziato, esclusivamente la sostituzione dei \nProdotti non conformi all’ordine, con l’espressa esclusione del risarcimento di tutti i danni, \npatrimoniali e non, subiti direttamente o indirettamente.\ne. \nQualsiasi reclamo o contestazione non implica la sospensione ed il rifiuto al pagamento delle \nfatture.Il pagamento dovrà effettuarsi regolarmente ed integralmente nei termini convenuti. \nf. \nNon si accettano resi di merce se non autorizzati per iscritto da Italcer. \n7. FORO COMPETENTE E LEGGE APPLICABILE\nPer qualsiasi controversia il Foro competente è quello di Reggio Emilia (Italia) e la legge italiana \nquella applicabile. Tuttavia, Italcer si riserva il diritto di agire presso il foro competente della sede del \nCompratore per azioni volte al recupero del credito. In the event of \nseizure or any other intervention by third parties on the sold Products, the Buyer shall notify \nsuch third parties of the existence of this retention of title clause and promptly inform Italcer in \norder to enable it to protect its rights.\n6. CLAIMS\na. \nNo claims are accepted for obvious or detectable defects, once the materials have been \ninstalled. \nb. \nHidden defects must be reported to Italcer in writing (claim@gruppoitalcer.it) within 8 days of \ntheir discovery and in any case no later than 24 (twenty-four) months from delivery.\nc. \nWithout prejudice to the provisions of par. 4 e. above, claims for flaws and defects in the \nProducts must contain:\n(i) \nproduct data and batch number;\n(ii) \ndetailed description of the alleged defect;\n(iii) \nadequate photographic evidence.\nd. \nIn the event of a flawed\u002Fdefective Product, Italcer will replace only those Products that do not \nconform to the order, with the express exclusion of compensation for all damages, pecuniary or \notherwise, suffered directly or indirectly.\ne. \nClaims shall not affect the Buyer’s obligation to pay invoices, which must be paid in full and on \ntime. \nf. \nReturned Products shall not be accepted unless authorised in writing by Italcer.\n 7. JURISDICTION AND APPLICABLE LEGISLATION\nFor any dispute, the competent Court shall be that of Reggio Emilia (Italy) and Italian law shall be \napplicable. However, Italcer reserves the right to take legal action at the competent court of the \nBuyer’s registered office for credit recovery, in which case local laws shall apply.\nThese general terms and conditions of sale are drawn up in several languages. PRIX \na. \nLes prix sont indiqués pour marchandise rendue EXW (Incoterms 2020) à l'entrepôt à chaque \nfois indiqué par Italcer, hors TVA. \nb. \nLes prix des emballages sont indiqués dans la liste de prix correspondante et varient en \nfonction des différents types d'emballages.\n4. LIVRAISON \na. \nLes délais de livraison convenus avec Italcer doivent être considérés comme purement \nindicatifs et non contraignants pour Italcer. Les éventuels retards de livraison ne donnent \njamais à l'Acheteur le droit de résilier le contrat, ni de réclamer la réparation des dommages \ndirects ou indirects, toute exception étant exclue. \nb. \nItalcer se réserve le droit d'effectuer des livraisons partielles raisonnables.\nc. \nLa marchandise est considérée comme achetée par l'Acheteur EXW (Incoterms 2020) à \nl'entrepôt indiqué par Italcer à chaque fois. La marchandise voyage toujours aux risques de \nl'Acheteur, même si le prix est franco-destination. \nd. \nL'Acheteur est tenu de retirer les Produits dans un délai de 2 (deux) jours ouvrables à compter \nde la date « marchandise prête » indiquée dans la communication envoyée par Italcer. Si 60 \n(soixante) jours se sont écoulés à compter de la date indiquée comme «marchandise prête» \nsans que l'Acheteur ne les ait retirés, le contrat de vente sera considéré comme résilié de \nplein droit conformément à l'art. 1456 cc. Par ailleurs, Italcer se réserve le droit d'annuler la \ncommande et de facturer à l'Acheteur :\n(i) \npour les Produits standards : un montant au titre des frais de traitement et de gestion, \ncompris entre un minimum de 20 % et un maximum de 50 % de la valeur des Produits ;\n(ii) \npour les Produits sur mesure : 100 % de la valeur de vente des Produits, en plus des frais \nde manutention et d'élimination.\ne. \nLors de la réception du matériel, l'Acheteur doit vérifier soigneusement : \n(i) \nque le nombre de colis livrés est cohérent avec celui commandé et indiqué sur les \ndocuments de transport ; \n(ii) \nl'état physique des colis, en vérifiant qu'ils n'ont pas été altérés et\u002Fou endommagés ; \n(iii) \nles défauts de la marchandise immédiatement visibles lors de la livraison. \nEn cas d'anomalies\u002Fdéfauts, la marchandise devra être marquée comme « acceptée avec \nréserve » en inscrivant la raison directement sur le document de livraison. Dans les 24 (vingt-\nquatre) heures suivant la livraison, l'Acheteur devra également notifier par écrit à Italcer, à \nl'adresse électronique claim@gruppoitalcer.it, les anomalies et\u002Fou les défauts constatés. Italcer \nn'acceptera aucune objection concernant ce qui précède si elle n’est pas mentionnée sur le \nbon de livraison et communiquée dans les conditions susmentionnées. \n5. PAIEMENT et RÉSERVE DE PROPRIÉTÉ \na. \nLes paiements sont effectués en faveur d'Italcer, selon les modalités convenues et indiquées \ndans la facture. Le défaut de paiement de l'une des échéances \npourra entraîner de plein droit, sans formalité ni préavis, la récupération de la marchandise par \nItalcer et l'Acheteur sera tenu de la restituer sur le champ. \nEn cas de saisie ou de toute autre intervention de tiers sur la marchandise vendue, l'Acheteur \nnotifiera auxdits tiers l'existence de la présente clause de réserve de propriété et en informera \npromptement Italcer afin de permettre la protection de ses droits.\n6. RÉCLAMATIONS \na. \nAucune réclamation ne sera acceptée pour des vices évidents ou vérifiables avec diligence \ndans les matériaux déjà posés. \nb. \nLes vices cachés doivent être notifiés à Italcer par écrit (claim@gruppoitalcer.it) dans les 8 jours \nsuivant leur découverte et, en tout état de cause, au plus tard 24 (vingt-quatre) mois après la \nlivraison.\nc. \nSans préjudice du précédent point 4 e, les réclamations pour vices et défauts des Produits \ndoivent contenir :\n(i) \nLes données du Produit et le numéro de lot ;\n(ii) \nles détails et l'explication du défaut allégué ;\n(iii) \nune documentation photographique adéquate.\nd. \nEn cas de Produit défectueux, Italcer garantit uniquement le remplacement des Produits non \nconformes à la commande, à l'exclusion expresse de la réparation de tous les dommages, \npécuniaires ou autres, subis directement ou indirectement.\ne. \nToute réclamation ou contestation n'implique pas la suspension ou le refus de payer les \nfactures. Le paiement devra être effectué régulièrement et intégralement dans les délais \nconvenus. \nf. \nNous n'acceptons pas des retours de marchandises s’ils ne sont pas autorisés par écrit par \nd'Italcer. \n7. JURIDICTION COMPÉTENTE ET DROIT APPLICABLE \nPour tout litige, le tribunal compétent sera celui de Reggio Emilia (Italie) et la loi italienne sera \napplicable. Die Waren reisen immer und in jedem Fall auf Risiko und Gefahr des \nKäufers, auch wenn der Preis frei Bestimmungsort vereinbart wurde.\nd. \nNach Erhalt der Bereitstellungsmitteilung - die Italcer schriftlich übermittelt - ist der Käufer \nverpflichtet, die Produkte so schnell wie möglich, auf jeden Fall aber innerhalb von 2 (zwei) \nKalendertagen nach der vorbezeichneten Mitteilung, abzuholen.\nNach Ablauf von 60 (sechzig) Tagen ab dem als „bereit“ angegebenen Datum, ohne dass \nder Käufer die Ware abgeholt hat, gilt der Kaufvertrag gemäß Artikel 1456 des italienischen \nZivilgesetzbuches automatisch als aufgelöst.\nItalcer behält sich außerdem das Recht vor, die Bestellung zu stornieren und dem Käufer in \nRechnung zu stellen:\n(i) \nfür Standardprodukte einen Betrag für Bearbeitungs- und Verwaltungskosten,  \nder zwischen mindestens 20% und höchstens 50% des Warenwertes liegt;\n(ii) \nfür Sonderanfertigungen 100% des Verkaufswerts der Ware, zuzüglich der Bearbeitungs- \nund Entsorgungskosten.\ne. \nNach Erhalt des Materials ist der Käufer angehalten, sorgfältig zu überprüfen: \n(i) \ndie Übereinstimmung der Anzahl der gelieferten Packstücke mit der bestellten und auf \ndem Lieferschein angegebenen Menge; \n(ii) \nden Zustand der Packstücke hinsichtlich Manipulation und\u002Foder Beschädigung; \n(iii) \ndas Vorliegen etwaiger Mängel an den Waren, die unmittelbar bei der Lieferung sichtbar \nsind. \nBei Unregelmäßigkeiten \u002F Mängeln ist der Vermerk „unter Vorbehalt angenommen“ \nanzubringen und der Grund direkt auf dem Lieferschein einzutragen.
