1.
Orders
1.1. All orders must be transmitted in writing.
1.2 Orders are accepted and binding for the Seller only after receipt
of order confirmation by Purchaser.
1.3. If the Confirmation includes changes regarding the Offer, these
changes are considered tacitly accepted by the Purchaser 15
days after confirmation receipt, unless the Purchaser shows his/
her non-acceptance in writing within this time.
2.
Prices
2.1 Failing otherwise written confirmation advice, prices are intended
as per Seller’s pricelist in force at the confirmation. Standard
cost of packaging is included.
2.2 Prices for installation and assembly are not included. These will
be quoted separately.
2.3 Confirmation order prices are not automatically valid for further
orders.
3.
Packaging
3.1 Standard carton packaging foresees +3% increase.
1.1 GieMme Stile Srl reserves the right to add +8% in case of
wooden caging or +10% for wooden crates for items such as
vitrines or items from the Eclectica collection or others in order to
safeguard transport. Special condition such as fumigation will be
priced apart.
4.
Payments
4.1 Except for advance payment, payment terms have effect from
invoice emission date. Payment conditions are written as part of
the confirmation.
4.2 Payment through remittance must be performed by bank transfer
order – fixed value at beneficiary’s favour from payment due day
– through the bank stated as per order confirmation.
4.3 All products shall remain the Seller’s property until full payment
is received. This is valid in case of cheques or collection of title
deeds and even in case of documents delivered in advance.
4.4 Any amounts collected, discounts given, returns authorized or
faults recognized by Agents will not be considered valid unless
confirmed by the Seller.
5.
Delayed or postponed payment
5.1 In case of payment delay, whether total or partial, the Purchaser
will be charged for the pending amount with an interest equal to
the legal interest as per art. 4 and 5 of D.Lgs. 231/02.
5.2 In case of payment by installments, the non-payment of only
one installment will cause the automatic loss of the Purchaser’s
benefit term per art. 1186 c.c..
Consequently, the whole Seller’s credit will be collectible imme-
diately.
5.3 In case of more than 30 days payment delay, the sale contract
between the parts will be intended as rescinded by right, should
the Seller choose to do so.
In this case any sums paid by the Purchaser will be retained by
the Seller as damage reimbursement.
6.
Delivery
6.1 Delivery, except for different written indication i.e. order confirma-
tion, is intended as performed by the Seller’s at its factory when
goods are delivered onto transport means. This implies that risk
transfers takes place at the same time.
Regardless of any agreement regarding transport costs at order
placement, deliveries may take place in one or more lots.
6.2 Shipdates are intended as indication only and are not binding
for the Seller, GieMme Stile Srl Shipdates are dependent on
transport availability.
7.
Shipment
7.1 Should shipment be agreed at the Seller’s cost, the Seller shall
select a shipping agent of its choice.
7.2 Should shipment be agreed at Purchaser’s cost, the Purchaser
shall inform the Seller within 15 days from order confirmation
receipt of its shipping agent’s choice.
8.
Non-collection
8.1 In case of non-acceptance by the Purchaser to receive the pro-
ducts, the contract will be cancelled by right by Seller’s declara-
tion, which will confirm this faculty.
It remains the Seller’s right to demand the penalty payment as
per following art. 11, in addition to the reimbursement of dama-
ges eventually derived from the non-fulfilment.
8.2 Without prejudice the Seller has the right to re-sell the non-col-
lected products, the difference between the contract price and
the price obtained from this sale shall form part of the damage
suffered by the Seller and considered debt from the Purchaser.

9.
Complaints
9.1 All products must be checked thoroughly by the Purchaser upon
receipt. Complaints for incomplete or erroneous shipments as
well as for non-conforming products must be sent in writing
by the Purchaser, together with shipment identification papers
within 8 days from receipt.
Quality defects and latent defects, which could not be establi-
shed immediately upon arrival, must be declared within 8 days
of discovery. Failure to adhere to this procedure will invalidate all
future claims.
General Sales Conditions
Sales agreements are regulated by net pricing excluding iva (sales tax)
The present general conditions prevail over any other general or particular condition agreed by the Purchaser and are valid for all existing and future order confirmations.
