They design mainly furniture, lighting and \ninteriors around the theme of “between space and objects”.\n \nYOY specialises in designing products that tell short  \nstories of everyday life, such as “Canvas”, a canvas with \na drawing of a chair, which doubles as a chair by leaning \nagainst a wall, and “Scribble”, a series of table mats \nthat look like scribbles. The products pursue aspects of \ndesign that go beyond ease of use and functionality.\n \nYOY first presented their independent works at \nMilan Design Week 2012 and have since participated in \nthe event for eight consecutive years. Her praised limited edition collections \nand installations are exhibited around the world, sometimes \nas part of high-end collaborations like those with Rossana \nOrlandi Gallery in Milano. Along the way, Zupanc continuously \nproduces objects under her own brand Nika Zupanc and \nis involved in various projects and collaborations. In mancanza di indicazioni da \nparte del Compratore il Venditore considera condizioni \ndi utilizzo quelle di prassi dallo stesso considerate \no esplicitate nei propri disegni e documentazione \ntecnica.\nArt. 6 \nGaranzie\nI prodotti forniti sono coperti da garanzia per difetti \ndi materiale e ⁄ o fabbricazione per un periodo di \n24 mesi dalla consegna se il Compratore risulta \nessere una persona fisica, diversamente il periodo di \ngaranzia sarà di 12 mesi dalla consegna. Il Venditore \nsostituisce i prodotti resi in detto periodo di garanzia \ne riconosciuti difettosi per vizi d’origine ovvero in \nalternativa ed a sua scelta accredita al Compratore \nuna somma pari al prezzo già fatturato dei prodotti \nstessi, restando espressamente escluso e rinunciato \nqualsiasi diverso diritto o pretesa del Compratore \nanche a titolo di risarcimento danni diretti e ⁄ o indiretti \no di rimborso di costi dallo stesso sostenuti (quali \ncosto di riprese, di assistenza tecnica, di richiamo, \necc.). Il Venditore anticiperà l’invio del prodotto in \nsostituzione, fatturandolo regolarmente, andando poi \nad accreditare l’importo alla riconsegna del prodotto \ndifettoso reso. Le spese di trasporto saranno a carico \ndel Venditore. Qualora l’articolo oggetto del reso \nvenisse riconsegnato in un imballo non originale \ninadeguato con consequenti danni da trasporto, \nil Venditore non accrediterà al Compratore alcun \nimporto e rinvierà al mittente, a sue spese il prodotto. \nQualora il reso venisse effettuato per presunti vizi \nd’origine ma dopo il controllo effettuato dal Venditore \nlo stesso venisse ritenuto (i) infondato, per assenza \ndi vizi; (ii) ulteriormente danneggiato da insufficiente \nimballaggio nel trasporto di ritorno (iii) viziato da \nmanomissione posta in essere dal Compratore, \nverranno addebitati a quest’ultimo tutti i costi di \ntrasporto nonché l’intero valore del prodotto. Eventuali \ndifettosità o non conformità dei prodotti devono essere \nsegnalate dal Compratore per iscritto al Venditore – a \npena di decadenza – entro e non oltre 8 gg dalla data \ndi ricevimento della merce; eventuali difetti occulti \ndevono essere segnalati dal Compratore per iscritto al \nVenditore – sempre a pena di decadenza – entro 8 gg \ndalla relativa scoperta. Resta inteso che il Venditore non \nsarà responsabile per alcun vizio ancorché occulto, \ncomunicato per iscritto, oltre 24 mes i dalla consegna \ndella merce. La garanzia non opera ove i difetti rilevati \nsiano imputabili a negligenza del Compratore e ⁄ o ad \nimpiego dei prodotti non conforme con le informazioni \ne le spiegazioni in ogni caso fornite dal Venditore, \nalle prescrizioni tecniche, ad errata progettazione, \napplicazione, montaggio o fabbricazione delle strutture \nove sono installati, ad errata manutenzione operata \nda personale non autorizzato, a pulizia impropria in \nquanto effettuata con modalità o materiali non idonei, \nad errato magazzinaggio, movimentazione e trasporto, \nad uso improprio od incauto, anche in caso di impianto \nelettrico e portata dello stesso non idonea, ovvero a \ncircostanze che comunque non possono ricollegarsi \na difettosità di produzione da parte del Venditore. \nOgni singolo prodotto del Venditore è conforme alla \nmarcatura richiesta dalla Comunità Europea con la \ndirettiva 93 ⁄ 68 (ampliamento della direttiva 73 ⁄ 23) \nper confermare con una marcatura riconosciuta in \ntutta Europa, che le lampade sono state sottoposte \nalle prove di sicurezza elettrica richieste dalle norme \nEuropee EN–60598–1–2 II ed. + CEI EN 60598–1 IV ed. \ncorrispondenti norme italiane CEI 34–21 + CEI 34–23, \nnorme per la sicurezza elettrica a cui fanno riferimento \ntutti gli istituti, compreso l’IMQ. I prodotti indicati con \nil marchio UL e ⁄ o ETL sono conformi alla normativa  \nUL 1598 ⁄ CAN ⁄ USA C22.2 No.250.0 o UL 153.\nArt. 7 \nObblighi del Compratore\nIl Compratore è tenuto a prendere immediatamente \nin consegna i prodotti affidati dal Venditore al vettore, \novvero – se diversamente concordato – a puntualmente \nritirarli presso lo stabilimento del Venditore alla data di \ncomunicazione di merce pronta che potrà avvenire con \nogni mezzo da parte del Venditore. Ove il Compratore \nritardi il ritiro dei prodotti per un periodo superiore a 10 \ngg, oltre al pagamento del prezzo deve corrispondere \nal Venditore un adeguato compenso pari al 2% al \ngiorno dell’importo fatturato per il magazzinaggio \ndegli stessi. Il Compratore deve effettuare i pagamenti \nnormalmente, con le modalità e nei termini precisati in \nfattura. Sui ritardati pagamenti decorreranno, di pieno \ndiritto e senza necessità di costituzione in mora, gli \ninteressi di cui al D.lgs. n. 231 ⁄ 2002. In caso di ritardo \ndei pagamenti il Venditore ha diritto a sospendere \nimmediatamente ogni fornitura, anche se dipendente \nda altri contratti con lo stesso Compratore. Il mancato \npagamento nei termini pattuiti comporta in ogni caso la \ndecadenza del Compratore dal beneficio del termine.\nArt. 8 \nResi\nIn caso di reso commerciale o in caso di reso per \nerrore del Compratore, il Venditore tratterrà un \nimporto pari al 20% minimo del totale a titolo di costo \ndi ricondizionamento dell’articolo. Qualora l’articolo \noggetto del reso fosse già stato utilizzato e ⁄ o venisse \nriconsegnato in un imballo non originale inadeguato, \ncon consequenti danni da trasporto, il Venditore non \naccrediterà al Compratore nessun importo e rinvierà \nal mittente, a sue spese, il reso. Verranno presi in \nconsiderazione solamente gli articoli presenti nel \ncatalogo e nel listino in vigore al momento della \nrichiesta. Le spese di trasporto sono sempre a carico  \ndel Compratore. I resi per riparazione vanno autorizzati \nsolo se la causa del danno è dipesa dal Compratore che \ndopo aver accettato il costo di riparazione si occuperà \na proprie spese di rispedire l’articolo danneggiato in \nsede e si accollerà poi i costi relativi al trasporto del \nprodotto riparato.\nArt. 9 \nForza maggiore\nQualora il Venditore sia impossibilitato a rispettare \nil contratto per cause di forza maggiore o comunque \nindipendenti dalla sua volontà, i termini previsti per \nl’esecuzione della fornitura sono automaticamente \nprorogati per un periodo equivalente al perdurare \ndegli effetti di tali cause. The prices agreed \nare understood for products delivered ex works of \nthe Seller and do not include services and accessory \ncharges (such as VAT, special packaging, transport \nand installation costs, and ⁄ or assemblages and so on). \nArt. 3 \nDelivery, risk transfer and transport\nProducts are delivered to the Buyer at the Seller’s \nplant or at another place indicated in writing by the \nSeller, and the risk transfer takes place with the \ndelivery of the goods to the first carrier or Buyer in \nthe events of collection of goods directly carried \nout by the latter. The products always travel at the \nBuyer’s sole risk also when the carrier is selected and \nappointed by the Seller, being the latter freed from all \nresponsibilities after having delivered the products to \nthe carrier, this delivery is deemed to all effects being \ncarried out directly by the said Buyer. The quality \nlevels of products are the standard quality levels of \nthe Sellers, indicated in the relevant specifications \nas described on the Seller’s website. It is always the \nBuyer’s responsibility to identify and notify the Seller \nof the conditions of use of products before technically \ndefining them. Failing any particular instructions from \nthe Buyer, the Seller considers as usual conditions of \nuse those it considered or described in its designs \nand technical documentation.\nArt. 6 \nWarranties\nThe products delivered are covered by a warranty for \ndefects in material and manufacture for a period of \n24 months as of the delivery if the Buyer is a natural \nperson, otherwise the warranty period will be of 12 \nmonths as of the delivery. The Seller shall replace  \nthe products delivered in this warranty period being \nfaulty due to factory defects or in alternative, at its \ndiscretion, pay the Buyer an amount equal to the price \nalready invoiced of the said products, being expressly \nexcluded and waived any other right or claim by the \nBuyer also as compensation for direct and ⁄ or indirect \ndamages or cost repayment borne by it (such as \nrecovery, technical assistance, recalling costs, etc.). \nThe Seller will anticipate the delivery of the replaced \nproduct, invoicing it regularly. Successively, when \nthe product arrive to the Seller’s warehouse, the \nlatter will credit the amount of the defective product.  \nThe transport’s costs will be paid by the Seller. \nShould the defected item be returned in an inadequate \nnon–original packaging, with damages connected to \nthe transport, The Seller will not credit any amount to \nthe Buyer, and it will return the product to the sender \nat his own expenses. If the replacement was made for \nalleged defects in material and manufacture, but after \nthe control carried out by the Seller, it is considered \n(i) unfounded, due to the absence of defects; (ii) \nfurther damaged by insufficient packaging in the \nreturn transport (iii) spoiled by tampering made by \nthe Buyer, all transportation costs and the entire \nvalue of the product will be charged to the latter. Any \ndefectiveness or non–compliance of products shall \nbe reported by the Buyer by writing to the Seller – in \norder to be valid – within 8 days from receipt of goods; \nany hidden defects shall be reported by the Buyer \nby writing to the Seller – always in order to be valid \n– within 8 days as of the relevant discovery. It being \nunderstood that the Seller will not be responsible \nfor any defect even though hidden, being notified \nin writing, after 24 months of the delivery of goods. \nThe warranty does not apply where the defects \nidentified are due to the Buyer’s negligence and ⁄ or \nto the use of products being not compliant with the \ninformation and explanations in any case gave by \nthe Seller, technical provisions, to incorrect design, \napplication, assembly or manufacture of the facilities \nin which they are installed, to incorrect maintenance \ncarried out by unauthorized personnel, to improper \ncleaning since it is made with materials and manners \nbeing not suitable, to incorrect storage, handling \nand transport, to improper or imprudent use, also in \nthe event of electrical system and its capacity being \nnot suitable, or to circumstances that in any case \ncannot be related to the production defectiveness \nby the Seller. Every single product of the Seller \ncorresponds to the mark laid down by the European \nCommunity with Directive 93 ⁄ 68 (extension of \nDirective 73 ⁄ 23) to confirm, with a mark recognized \nall over Europe, that the lights have undergone the \nelectrical safety test required by European standards  \nEN–60598–1–2 II ed. + CEI EN 60598–1 IV ed. \ncorresponding to Italian standards CEI 34–21 + \nCEI 34–23, electrical safety standards referred to \nby all institutions, including the IMQ. The products \nindicated with the logo UL and ⁄ or ETL corresponds to \nthe standards UL 1598 ⁄ CAN ⁄ USA C22.2 No.250.0 \no UL 153.\nArt. 7 \nBuyer’s Obligations\nThe Buyer is required to immediately take delivery \nof the goods given by the Seller to the carrier, or – \nwhere otherwise agreed – to timely collect them \nat the Seller’s plant on the date on which the Seller \ncommunicates, by any means, that the goods are \nready. Where the Buyer delays the collection of the \nproduction for a period exceeding 10 days, in addition \nto the payment of price it shall pay the Seller a proper \ncompensation equal to 2% per day of the price \ninvoiced for storing such products. The Buyer shall \ncarry out the payments normally, in accordance with \nthe terms and conditions specified in the invoice.  \nFor late payments it will be accrued by default without \nneed of further notification interest under Legislative \nDecree no. 231 ⁄ 2002. In the event of payment delays, \nthe Seller is entitled to immediately suspend any \nsupply, even though it has concluded other agreements \nwith the same Buyer. The failure to pay within the terms \nagreed will cause in any event the loss of favourable \nterms for the Buyer.\nArt. 8 \nReplacement of the Product\nIf a product is returned for commercial reasons or \nfor a mistake in the order made by the Buyer, the \nSeller will retain an amount equal to the 20% of the \ntotal price as cost for reconditioning the product.  \nIf the returned product had already been used and \n⁄ or it has been returned in an inadequate original \npackaging, with consequent transport damages, the \nSeller will not credit to the Buyer any amount and \nit will return the product to the sender at his own \nexpenses. Only the articles in the catalogue and in \nthe price list in force at the time of the request will \nbe taken into consideration. Transport’s costs are \nalways charged to the Buyer. The repair of damaged \nproducts will be authorized only if the damage has \nbeen caused by the Buyer. The Buyer, once accepted \nrepair costs, will take care of returning the damaged \nproduct to the Seller’s warehouse and it will pay the \ncosts of transporting the repaired product.\nArt. 9 \nForce majeure\nIf the Seller is unable to comply with the agreement \ndue to force majeure or beyond its control events, \nthe deadlines set for the supply are automatically \nextended for a period in which these effects continue. \nWhere the obstacle to comply with the agreement is \nlonger than 6 months, both parties may request the \ntermination of the agreement and, in such event, the \nSeller repay the Buyer the advances received, if any, \nreleasing itself from any additional obligation on it.\n \nArt. 10 \nAgreement\nIn the event of execution of a specific agreement \nsigned by the parties, the said agreement together \nwith its Annexes provides for and summarizes the \nobligations validly undertaken by the parties and \nbeing binding for them.
