Random’s poetic spheres of \nlight find their place on a hexagonal bar, reminiscent of fragile soap \nbubbles skimming the surface before taking flight again. The lamp, \navailable in two bar lengths – 100 cm and 150 cm – lends itself to \nilluminating long, rectangular surfaces of various sizes, such as a dining  \ntable or a cocktail bar counter. The spheres pick up on Random’s \nseven finishes, freely combinable on polished gold, polished black, \nand matt white bars to create original colour combinations and \nluminous effects. Sale\nArt. 1 \nRecital\nUnless otherwise provided for in a separate written \nagreement between the parties, every sale of \nproducts of Lodes S.r.l., VAT 02992370276 (hereinafter, \n“the Seller”) is governed by the following General \nConditions of Sale that must be considered as an \nessential part of this agreement and shall be deemed \nto have been accepted by the Buyer even though the \nlatter has not signed them. Any clause unilaterally \nadded by the Buyer in the documentation signed by it \nand ⁄ or in its correspondence, being against or in any \ncase in addition to the general conditions or to those \nspecific expressly approved in writing by the Seller, \nshall be deemed as not written and shall be of no effect.\nArt. 2 \nCompletion of the sale,\n \nquantities and prices\nThe sale is deemed to be completed once the Seller \ngives the written order confirmation also by fax \nand ⁄ or email or when deliveries are commenced in \ncases where the immediate delivery of the supply is \nrequested, also in consideration of changes occurred \nand then accepted by the customer. The prices agreed \nare understood for products delivered ex works of \nthe Seller and do not include services and accessory \ncharges (such as VAT, special packaging, transport and \ninstallation costs, and ⁄ or assemblages and so on).\nArt. 3 \nDelivery, risk transfer and transport\nProducts are delivered to the Buyer at the Seller’s plant \nor at another place indicated in writing by the Seller, \nand the risk transfer takes place with the delivery of \nthe goods to the first carrier or Buyer in the events of \ncollection of goods directly carried out by the latter. \nThe products always travel at the Buyer’s sole risk \nalso when the carrier is selected and appointed by the \nSeller, being the latter freed from all responsibilities \nafter having delivered the products to the carrier, this \ndelivery is deemed to all effects being carried out \ndirectly by the said Buyer. The delivery terms agreed \nare to be understood as indicative. If the Seller is \nresponsible for delay of delivery for a period of up to \n60 days, the Buyer is not entitled either to refuse the \nsupply or to request the termination of the agreement \nand ⁄or the compensation for any damages. If the delay \nin delivery exceeds 60 days, the Buyer is entitled to \nrequest – by registered letter – the cancellation of the \norder and the reimbursement of the advances if paid. In \nany event, the Seller shall not be liable for and ⁄ or direct \nand indirect damages of any nature and for any reason \ndue to the delay or the failure to carry out the supply.\nArt. 4  \nReservation of title\nhe Buyer acquires property rights over the goods with \nthe full payment of the price invoiced of the supplies \nbut it takes the risks thereof as of the delivery.\nArt. 5 \nProducts features \n \nand conditions of use\nUnless otherwise expressly agreed in writing by the \nparties, the conditions for using of the products are \nthose communicated or in any case resulting from the \ndrawings and technical specifications of the Seller, \nif any, or as described in the website www.lodes.com \nin relation to products. The quality levels of products \nare the standard quality levels of the Sellers, indicated \nin the relevant specifications as described on the \nSeller’s website. It is always the Buyer’s responsibility \nto identify and notify the Seller of the conditions of \nuse of products before technically defining them. \nFailing any particular instructions from the Buyer, the \nSeller considers as usual conditions of use those it \nconsidered or described in its designs and technical \ndocumentation. Drawings, materials, and colours of \nthe products included in catalogues ⁄website and more \ngenerally in all advertising material are indicative. The \nSeller reserves the right, without notice, to modify \nthe characteristics of its products, as well as their \navailability. Technical data, images, and information \nregarding the products are not binding on the Seller, \nwho will not be held responsible for any discrepancies \nand ⁄ or illustrative and ⁄ or textual errors. Further \nproduct characteristics are contained in the respective \ntechnical sheets and ⁄ or instruction sheets.\nArt. 6 \nWarranties\nThe products delivered are covered by a warranty for \ndefects in material and manufacture for a period of \n24 months as of the delivery if the Buyer is a natural \nperson, otherwise the warranty period will be of 12 \nmonths as of the delivery. The Seller shall replace \nthe products delivered in this warranty period being \nfaulty due to factory defects or in alternative, at its \ndiscretion, pay the Buyer an amount equal to the price \nalready invoiced of the said products, being expressly \nexcluded and waived any other right or claim by the \nBuyer also as compensation for direct and ⁄ or indirect \ndamages or cost repayment borne by it (such as \nrecovery, technical assistance, recalling costs, etc.). \nThe Seller will anticipate the delivery of the replaced \nproduct, invoicing it regularly. Successively, when the \nproduct arrives to the Seller’s warehouse, the latter \nwill credit the amount of the defective product. The \ntransport’s costs will be paid by the Seller. Should \nthe defected item be returned in an inadequate non-\noriginal packaging, with damages connected to the \ntransport, The Seller will not credit any amount to the \nBuyer, and it will return the product to the sender at \nhis own expenses. If the replacement was made for \nalleged defects in material and manufacture, but after \nthe control carried out by the Seller, it is considered (i) \nunfounded, due to the absence of defects; (ii) further \ndamaged by insufficient packaging in the return \ntransport (iii) spoiled by tampering made by the Buyer, \nall transportation costs and the entire value of the \nproduct will be charged to the latter. Any defectiveness \nor non-compliance of products shall be reported by \nthe Buyer by writing to the Seller – in order to be valid – \nwithin 8 days from receipt of goods; any hidden defects \nshall be reported by the Buyer by writing to the Seller \n– always in order to be valid – within 8 days as of the \nrelevant discovery. It being understood that the Seller \nwill not be responsible for any defect even though \nhidden, being notified in writing, after 24 months of the \ndelivery of goods. The warranty does not apply where \nthe defects identified are due to the Buyer’s negligence \nand ⁄ or to the use of products being not compliant with \nthe information and explanations in any case gave by \nthe Seller, technical provisions, to incorrect design, \napplication, assembly or manufacture of the facilities \nin which they are installed, to incorrect maintenance \ncarried out by unauthorized personnel, to improper \ncleaning since it is made with materials and manners \nbeing not suitable, to incorrect storage, handling and \ntransport, to improper or imprudent use, also in the \nevent of electrical system and its capacity being not \nsuitable, or to circumstances that in any case cannot \nbe related to the production defectiveness by the \nSeller. Every single product of the Seller corresponds \nto the mark laid down by the European Community \nwith Directive 93 ⁄ 68 (extension of Directive 73 ⁄ 23) \nto confirm, with a mark recognized all over Europe, \nthat the lights have undergone the electrical safety \ntest required by European standards EN-60598-1-2 II \ned. + CEI EN 60598-1 IV ed. corresponding to Italian \nstandards CEI 34-21 + CEI 34-23, electrical safety \nstandards referred to by all institutions, including the \nIMQ. The products indicated with the logo UL and ⁄ or \nETL corresponds to the standards UL 1598 ⁄ CAN ⁄ USA \nC22.2 No.250.0 o UL 153.\nArt. 7 \nBuyer’s Obligations\nThe Buyer is required to immediately take delivery of \nthe goods given by the Seller to the carrier, or – where \notherwise agreed – to timely collect them at the Seller’s \nplant on the date on which the Seller communicates, \nby any means, that the goods are ready. Where the \nBuyer delays the collection of the production for a \nperiod exceeding 10 days, in addition to the payment \nof price it shall pay the Seller a proper compensation \nequal to 2% per day of the price invoiced for storing \nsuch products. The Buyer shall carry out the payments \nnormally, in accordance with the terms and conditions \nspecified in the invoice. For late payments it will be \naccrued by default without need of further notification \ninterest under Legislative Decree no. 231 ⁄ 2002. In \nthe event of payment delays, the Seller is entitled to \nimmediately suspend any supply, even though it has \nconcluded other agreements with the same Buyer. \nThe failure to pay within the terms agreed will cause \nin any event the loss of favourable terms for the Buyer.\nArt. 8 \nReplacement of the Product\nIf a product is returned for commercial reasons or for \na mistake in the order made by the Buyer, the Seller \nwill retain an amount equal to the 20% of the total price \nas cost for reconditioning the product. If the returned \nproduct had already been used and ⁄ or it has been \nreturned in an inadequate original packaging, with \nconsequent transport damages, the Seller will not \ncredit to the Buyer any amount and it will return the \nproduct to the sender at his own expenses. Only the \narticles in the catalogue and in the price list in force at \nthe time of the request will be taken into consideration. \nTransport’s costs are always charged to the Buyer. The \nrepair of damaged products will be authorized only if \nthe damage has been caused by the Buyer. The Buyer, \nonce accepted repair costs, will take care of returning \nthe damaged product to the Seller’s warehouse and it \nwill pay the costs of transporting the repaired product.\nArt. 9 \nForce majeure\nIf the Seller is unable to comply with the agreement \ndue to force majeure or beyond its control events, the \ndeadlines set for the supply are automatically extended \nfor a period in which these effects continue. Where the \nobstacle to comply with the agreement is longer than \n6 months, both parties may request the termination of \nthe agreement and, in such event, the Seller repay the \nBuyer the advances received, if any, releasing itself \nfrom any additional obligation on it.\n \nArt. 10 \nAgreement\nIn the event of execution of a specific agreement signed \nby the parties, the said agreement together with its \nAnnexes provides for and summarizes the obligations \nvalidly undertaken by the parties and being binding \nfor them. The fulfilment by the parties will be subject \nto effective evaluation of the actual performance of \nthe contractual tasks and duties to be carried out in \ngood faith, with honesty and fairness. I prezzi \nconcordati si intendono per prodotti consegnati \nfranco stabilimento del Venditore e non comprendono \nprestazioni ed oneri accessori (quali IVA, imballo \nspeciale, spese di trasporto, di installazione e ⁄o \nmontaggi e così via).\nArt. 3 \nConsegna, trasferimento  \n \ndel rischio e trasporto\nLa merce viene consegnata al Compratore presso lo \nstabilimento del Venditore o in altro sito dallo stesso \nindicato per iscritto, ed il trasferimento del rischio \navviene con la consegna della stessa al primo vettore \no al Compratore nelle ipotesi di ritiro della merce \nda quest’ultimo direttamente eseguita. La merce \nviaggia sempre a rischio esclusivo del Compratore \nanche quando il vettore dovesse essere scelto \ned incaricato dal Venditore, essendo quest’ultimo \nliberato da ogni responsabilità con la consegna dei \nprodotti al vettore, che ad ogni effetto si intende \neseguita a mani dallo stesso Compratore. I termini \ndi consegna pattuiti si intendono indicativi. In caso \ndi ritardo nella consegna imputabile al Venditore per \nun periodo fino a 60 gg il Compratore non ha il diritto \ndi rifiutare la fornitura, né di richiedere la risoluzione \ndel contratto e ⁄o  il risarcimento di alcun danno. \nSe il ritardo nella consegna supera il termine di 60 \ngg il Compratore ha la facoltà di richiedere – con \nlettera raccomandata – l’annullamento dell’ordine e \nla restituzione degli anticipi eventualmente versati. \nResta in ogni caso escluso qualsivoglia obbligo \ndel Venditore di risarcimento danni diretti e ⁄o \nindiretti di qualsiasi natura e per qualsiasi ragione, \nin dipendenza del ritardo ovvero della mancata \nesecuzione della fornitura.\nArt. 4  \nRiserva di proprietà\nIl Compratore acquista la proprietà della merce solo \ncon il pagamento integrale del prezzo fatturato delle \nforniture ma ne assume i rischi dal momento della \nconsegna.\nArt. 5 \nCaratteristiche dei \n \nprodotti e condizioni di utilizzo\nSalvo diverso ed espresso accordo scritto tra le \nparti, i parametri funzionali dei prodotti sono quelli \nespressi comunicati o comunque risultanti nei disegni \ne specifiche tecniche del Venditore se esistenti o \nsu quanto indicato sul sito web www.lodes.com \nrelativamente ai prodotti. I livelli di qualità dei prodotti \nforniti sono quelli standard del Venditore, evidenziati \nnelle relative specifiche o su quanto indicato e \ndesumibile sul sito web del Venditore. È onere del \nCompratore individuare e comunicare al Venditore le \ncondizioni di utilizzo dei prodotti prima della relativa \ndefinizione tecnica. In mancanza di indicazioni da \nparte del Compratore il Venditore considera condizioni \ndi utilizzo quelle di prassi dallo stesso considerate o \nesplicitate nei propri disegni e documentazione tecnica. \nI disegni, i materiali ed i colori dei prodotti inseriti \nsui cataloghi ⁄sito internet e più in generale in tutto il \nmateriale pubblicitario, si intendono a titolo indicativo. \nIl Venditore, si riserva il diritto, senza alcun preavviso, \ndi modificare le caratteristiche dei propri prodotti, \ncosì come la disponibilità degli stessi. I dati tecnici, le \nimmagini e le informazioni riguardo ai prodotti non sono \nvincolanti per il Venditore, il quale non risponderà per \neventuali difformità e ⁄o  errori illustrativi e ⁄o  testuali. \nUlteriori caratteristiche dei prodotti sono contenute \nnelle relative schede tecniche e ⁄o  fogli di istruzione.\nArt. 6 \nGaranzie\nI prodotti forniti sono coperti da garanzia per difetti \ndi materiale e ⁄o  fabbricazione per un periodo di \n24 mesi dalla consegna se il Compratore risulta \nessere una persona fisica, diversamente il periodo di \ngaranzia sarà di 12 mesi dalla consegna. Il Venditore \nsostituisce i prodotti resi in detto periodo di garanzia \ne riconosciuti difettosi per vizi d’origine ovvero in \nalternativa ed a sua scelta accredita al Compratore \nuna somma pari al prezzo già fatturato dei prodotti \nstessi, restando espressamente escluso e rinunciato \nqualsiasi diverso diritto o pretesa del Compratore \nanche a titolo di risarcimento danni diretti e ⁄o  indiretti \no di rimborso di costi dallo stesso sostenuti (quali \ncosto di riprese, di assistenza tecnica, di richiamo, \necc.). Il Venditore anticiperà l’invio del prodotto in \nsostituzione, fatturandolo regolarmente, andando poi \nad accreditare l’importo alla riconsegna del prodotto \ndifettoso reso. Le spese di trasporto saranno a carico \ndel Venditore. Qualora l’articolo oggetto del reso \nvenisse riconsegnato in un imballo non originale \ninadeguato con consequenti danni da trasporto, \nil Venditore non accrediterà al Compratore alcun \nimporto e rinvierà al mittente, a sue spese il prodotto. \nQualora il reso venisse effettuato per presunti vizi \nd’origine ma dopo il controllo effettuato dal Venditore \nlo stesso venisse ritenuto (i) infondato, per assenza \ndi vizi; (ii) ulteriormente danneggiato da insufficiente \nimballaggio nel trasporto di ritorno (iii) viziato da \nmanomissione posta in essere dal Compratore, \nverranno addebitati a quest’ultimo tutti i costi di \ntrasporto nonché l’intero valore del prodotto. Eventuali \ndifettosità o non conformità dei prodotti devono essere \nsegnalate dal Compratore per iscritto al Venditore – a \npena di decadenza – entro e non oltre 8 gg dalla data \ndi ricevimento della merce; eventuali difetti occulti \ndevono essere segnalati dal Compratore per iscritto \nal Venditore – sempre a pena di decadenza – entro 8 \ngg dalla relativa scoperta. Resta inteso che il Venditore \nnon sarà responsabile per alcun vizio ancorché occulto, \ncomunicato per iscritto, oltre 24 mesi dalla consegna \ndella merce. La garanzia non opera ove i difetti rilevati \nsiano imputabili a negligenza del Compratore e ⁄ o  ad \nimpiego dei prodotti non conforme con le informazioni \ne le spiegazioni in ogni caso fornite dal Venditore, \nalle prescrizioni tecniche, ad errata progettazione, \napplicazione, montaggio o fabbricazione delle strutture \nove sono installati, ad errata manutenzione operata \nda personale non autorizzato, a pulizia impropria in \nquanto effettuata con modalità o materiali non idonei, \nad errato magazzinaggio, movimentazione e trasporto, \nad uso improprio od incauto, anche in caso di impianto \nelettrico e portata dello stesso non idonea, ovvero a \ncircostanze che comunque non possono ricollegarsi \na difettosità di produzione da parte del Venditore. \nOgni singolo prodotto del Venditore è conforme alla \nmarcatura richiesta dalla Comunità Europea con la \ndirettiva 93 ⁄68 (ampliamento della direttiva 73 ⁄23) \nper confermare con una marcatura riconosciuta in \ntutta Europa, che le lampade sono state sottoposte \nalle prove di sicurezza elettrica richieste dalle norme \nEuropee EN-60598-1-2 II ed. + CEI EN 60598-1 IV ed. \ncorrispondenti norme italiane CEI 34-21 + CEI 34-23, \nnorme per la sicurezza elettrica a cui fanno riferimento \ntutti gli istituti, compreso l’IMQ. I prodotti indicati con \nil marchio UL e ⁄o  ETL sono conformi alla normativa  \nUL 1598 ⁄CAN ⁄USA C22.2 No.250.0 o UL 153.\nArt. 7 \nObblighi del Compratore\nIl Compratore è tenuto a prendere immediatamente \nin consegna i prodotti affidati dal Venditore al vettore, \novvero – se diversamente concordato – a puntualmente \nritirarli presso lo stabilimento del Venditore alla data di \ncomunicazione di merce pronta che potrà avvenire con \nogni mezzo da parte del Venditore. Ove il Compratore \nritardi il ritiro dei prodotti per un periodo superiore a 10 \ngg, oltre al pagamento del prezzo deve corrispondere \nal Venditore un adeguato compenso pari al 2% al \ngiorno dell’importo fatturato per il magazzinaggio \ndegli stessi. Il Compratore deve effettuare i pagamenti \nnormalmente, con le modalità e nei termini precisati in \nfattura. Sui ritardati pagamenti decorreranno, di pieno \ndiritto e senza necessità di costituzione in mora, gli \ninteressi di cui al D.lgs. n. 231 ⁄ 2002. In caso di ritardo \ndei pagamenti il Venditore ha diritto a sospendere \nimmediatamente ogni fornitura, anche se dipendente \nda altri contratti con lo stesso Compratore. Il mancato \npagamento nei termini pattuiti comporta in ogni caso la \ndecadenza del Compratore dal beneficio del termine.\nArt. 8 \nResi\nIn caso di reso commerciale o in caso di reso per \nerrore del Compratore, il Venditore tratterrà un \nimporto pari al 20% minimo del totale a titolo di costo \ndi ricondizionamento dell’articolo. Qualora l’articolo \noggetto del reso fosse già stato utilizzato e ⁄ o venisse \nriconsegnato in un imballo non originale inadeguato, \ncon consequenti danni da trasporto, il Venditore non \naccrediterà al Compratore nessun importo e rinvierà \nal mittente, a sue spese, il reso. Verranno presi in \nconsiderazione solamente gli articoli presenti nel \ncatalogo e nel listino in vigore al momento della \nrichiesta. Le spese di trasporto sono sempre a carico \ndel Compratore. I resi per riparazione vanno autorizzati \nsolo se la causa del danno è dipesa dal Compratore che \ndopo aver accettato il costo di riparazione si occuperà \na proprie spese di rispedire l’articolo danneggiato in \nsede e si accollerà poi i costi relativi al trasporto del \nprodotto riparato.\nArt. 9 \nForza maggiore\nQualora il Venditore sia impossibilitato a rispettare il \ncontratto per cause di forza maggiore o comunque \nindipendenti dalla sua volontà, i termini previsti per \nl’esecuzione della fornitura sono automaticamente \nprorogati per un periodo equivalente al perdurare \ndegli effetti di tali cause.
