If, on request of \nCustomer, Ilti agrees to any such change in \npurchase order or a change in an Agreement, \nincluding an (partial) cancellation, delay or \nsuspension, the addition, omission, alteration, \nsubstitution or modification of the design, \nquality, standard, quantity, manufacturing site \nor performance (including sequence, quantities \nor timing) of Products and\u002For Services (each, a \n“Variation”), or a Variation is required due to \n(i) changes in applicable laws, regulations or \nindustry standards, (ii) emergency situations, \n(iii) incorrect or incomplete information \nprovided by Customer, or (iv) non-compliance \nby Customer of any of its obligations under an \nAgreement, Customer shall reimburse Ilti for \nall costs and expenses incurred in respect of \nsuch Variation promptly on first request. \n(d) Ilti may invoice Customer upon shipment \nof Products, or when Services have been \nperformed. Ilti may require (i) Customer to \npay on fixed payment days; (ii) an advance \npayment of (part of) the Price; and\u002For (iii) \ninvoice per separate specified phase, time \nperiod or milestone of performance. Customer \nshall make net payment within thirty (30) \ndays of date of invoice to the designated \nbank account of Ilti. Customer shall pay all \namounts due to Ilti in full without any set-off, \ncounterclaim, deduction or (tax) withholding. \nNotwithstanding the aforesaid, any invoice \nfalling due on a day that is not a bank day shall \nbe payable on the preceding bank day.\n(e)In the event Customer fails to make any \npayment due under an Agreement on the \ndue date, then, whether or not Ilti has made \na formal demand for payment and in addition \nto any other rights and remedies available to \nIlti, to the extent permitted by applicable \nlaw: (i) all amounts due from Customer will \nbe considered payable and non-disputed, \nadmitted debt; (ii) Customer shall pay Ilti \ninterest on all due amounts from the due date \nuntil Ilti has received full payment thereof, as \nper art. 5 of the Legislative Decree 231\u002F2002, \nat a rate equal to the official ECB rate plus \n7% or to the extent permitted by applicable \nlaw, and shall pay Ilti all costs of payment \ncollection, including attorneys’ fees; and (iii) \nIlti may cancel any credit issued to Customer \nand require, to its satisfaction, that Customer \nprovides (additional) security, pre-payments \nor deposits, and may implement additional \nconditional payment terms or accelerate \npayments schedules for any outstanding \nperformance.\n(f)Ilti may set off against and deduct from \nany amount that Ilti (or any of its affiliates) \nowes to Customer under any agreement any \namount that Customer owes to Ilti or against \nany advance payments or deposits made \nby Customer. In the event that Ilti sets off \namounts in different currency it will use a \ncommonly used currency conversion rate. \n3. \n \nDELIVERY \nOF \nPRODUCTS; \nPERFORMANCE OF SERVICES\n(a)Unless \nagreed \notherwise, \nProducts \nwill be delivered Ex Works – Ilti facility \n(INCOTERMS latest version). Ilti shall \nperform Services at the location(s) agreed \nin the Agreement. Dates communicated or \nacknowledged by Ilti are approximate only, and \nIlti will not be liable for, nor will Ilti be in breach \nof its obligations to Customer, for any delay \nin delivery or performance, provided that Ilti \nshall use commercially reasonable efforts to \nmeet such dates. In the event of delay, Ilti \nshall use commercially reasonable efforts to \ndeliver Products or perform Services (where \napplicable) within a period that is reasonably \nneeded given the cause of the delay, failing \nwhich Customer’s sole and exclusive remedy \nwill be to cancel the purchase order for \nundelivered Products and Services.\n(b)Customer shall note any damage to Products \ncaused in transit, or shortages thereto, on \ntransport documentation immediately upon \nreceipt of Products, with due regard to \napplicable instructions by Ilti or the carrier. \nAll Products delivered under the Agreement \nwill be deemed accepted by Customer as \nconforming to the Agreement, and Customer \nwill have no right to revoke any acceptance, \nunless Customer provides Ilti notice of a \nclaimed nonconformity within seven (7) days \nof the date of delivery. Notwithstanding the \nforegoing, any use of a Product by Customer \nor its customers after delivery will constitute \nacceptance of that Product by Customer. \nIlti shall at its option and within a reasonable \ntime, correct nonconformities by either repair, \nmake available parts, replace or deliver missing \nProducts, or credit the Price paid by Customer \nfor undelivered Products.\n(c)Minor Nonconformities will not prevent \nor suspend acceptance by Customer of the \nProducts, Services or both, and Ilti shall \ncorrect these within a reasonable time. “Minor \nNonconformities” are nonconformities or \nanomalies that do not hinder the overall \noperation and intended use of Products or \nServices in accordance with the specifications. \n(d)Ilti may make changes to the design, \nmaterials, fit and finish of Products or change \nworking methods, communication systems, \nsoftware or any other elements of Services, and \nDocumentation provided that such changes do \nnot materially affect the functionality of the \nProduct or Services.. Customer shall not use \nor rely on Products and Services for any other \napplications or purposes than agreed in the \nAgreement. \n(e)In the event of delay or interruption in \ndelivery of Products or the performance \nof Services for reasons not attributable \nto Ilti or due to a Variation, the timelines \nfor performance by Ilti will be amended \naccordingly. Ilti will be entitled (in addition to \nthe increased costs referred to in section 2(c)) \nto a reasonable compensation by Customer \nfor any damages and\u002For costs incurred by such \ndelay. \n(f)In the event that an Agreement contains \n(minimum) stock requirements for Ilti, \nCustomer shall at first request of Ilti \npurchase Products kept in stock under such \nrequirement. \n4. USE OF PRODUCTS AND SERVICES \n(a)Customer shall use Products and Services \nonly for their intended purposes and in \naccordance with all instructions contained in \nthe manuals, guidelines, warranty terms and \nany other terms and conditions applicable to \nsuch Products and Services or provided by any \npersonnel of Ilti, deployed or subcontracted \nby Ilti in the performance of an Agreement \n(“Personnel”). Customer shall maintain the \nsite, site conditions and equipment supplied \nand\u002For used by Ilti in the performance of \nServices (including cablings, fittings and \nelectricity supply) in good condition, repair, \nand working order, and shall protect same \nagainst damage and external influences. \n(b)Ilti shall not be responsible for the failure of \nany of its Products or Services to provide the \nexpected performance, benefits, effects or \noutcome arising from: (i) Customer’s failure to \ncomply with the terms under the Agreement; \n(ii) failures or fluctuations of electric power; \n(iii) sunset\u002Fshutdown of connectivity and \ncommunication \ntechnologies; \n(iv) \nForce \nMajeure and other unusual external influences; \nor (v) Variations.\n5. DESIGN SERVICES; DOCUMENTATION\n(a)If included as part of Services, Ilti shall \nprovide design services in accordance with \nspecifications as agreed by the Parties in \nwriting. Unless otherwise agreed, all IPR \n(as defined in section 10(a)) in and to the \ndeliverables arising out of design Services \nwill exclusively vest in Ilti or a Ilti nominee. \nCustomer shall not use, publish, copy or \ndisclose these without prior approval of Ilti, \nwhich approval Ilti may grant subject to \ncertain conditions, including the payment of a \nreasonable fee.\n(b)All the documentation provided by Ilti in \nconnection with the Products and Services, \nincluding any user manuals or instructions, \ncatalogs, specification sheets, data, drawings, \nschedules, designs, source code, or any \nother documents or information obtained \nfrom Ilti or created by Ilti in whatever form \nincluding \nelectronic \nor \nprinted \nformat \n(“Documentation”) will remain the property \nof Ilti. Documentation is not sold to Customer, \nbut licensed subject to the license terms in \nsection 10 below. Unless otherwise agreed, all \nIPR in and to the Documentation is retained \nby Ilti or a Ilti nominee. Customer shall not use, \npublish, copy or disclose the Documentation \nexcept in accordance with these Terms.\n6. INSTALLATION; SERVICES ON-SITE\nThis section applies where Ilti (or its \nsubcontractor) will perform construction, \ncabling or installation activities (“Installation” \nor “Install”) or other Services at a site owned \nor controlled by Customer.\n(a)Customer is responsible for the timely \ncompletion of preparatory works and site \npreparations in conformity with requirements \nset by Ilti. Customer shall prior to the agreed \nstart of Installation or other Services on site, \nand in such a manner that Ilti can perform in \nthe most efficient manner and within agreed \ntime schedules: (i) provide and maintain the \nsite conditions (including infrastructure); (ii) \nprovide all necessary information, instructions, \ninspections, \nauthorizations, \napprovals, \npermits and notify Ilti about the location of \nany cables, electric power lines, water pipes \nor the like, including surveys describing \nphysical characteristics, legal limitations and \nutility locations for the site; (iii) provide site \naccess, including traffic management, where \napplicable; and (iv) put at the disposal of Ilti \nall materials, tools, constructions and other \nfacilities, and all other reasonable assistance \nin an accurate and timely manner, and at no \nadditional costs to Ilti, all in compliance with \napplicable laws, including all applicable health \nand safety, electrical and building codes. \n(b)Customer shall not call Ilti upon site before \nthe obligations under section 6(a) have been \nsatisfactorily completed. In the event of \nwaiting times of more than four (4) hours on a \nday, Ilti may reschedule and charge Customer \na full working day for that day for the resources \nconcerned. \n(c)Upon finalization of Installation or other \nServices on-site, Ilti shall notify Customer \nin accordance with the acceptance protocol \nagreed between the Parties.\n7. RISK AND TITLE\n(a)Risk of damage to or loss of Products will \npass to Customer (i) upon delivery by Ilti to \nCustomer in accordance with the applicable \nINCOTERM; or (ii) in the event that Ilti \nInstalls Products on-site, unless agreed \notherwise, upon delivery on-site. \n(b)Legal title to Products will pass to Customer \nonly when Ilti (or its financiers) has received \npayment for such Products in full and, to \nthe extent permitted by applicable law, Ilti \nreceived payment in full of all other amounts \ndue by Customer under any other agreement \nwith Ilti (or any of its affiliates).\n8. FORCE MAJEURE\nIlti will not be liable for any breach resulting \nfrom a Force Majeure event. If a Force \nMajeure event occurs, Ilti’s performance will \nbe suspended for the period of such Force \nMajeure event. “Force Majeure” means any \ncircumstances or occurrences beyond the \nreasonable control of Ilti, whether or not \nforeseeable at the time of an Agreement, as a \nresult of which Ilti cannot reasonably perform \nor execute its obligations, including, without \nlimitation, acts of God, natural catastrophes \nincluding earthquake, lightning, hurricane, \ntyphoon, flooding or volcanic activities or \nextreme weather conditions, strikes, lock-outs, \nwar, terrorism, political situation, civil unrest, \nriots, sabotage, vandalism, industry-wide \nshortages, breakdown of plant or machinery, \nfault or loss of electricity supply, cyber attacks \nand hacking or non-performance by suppliers \nof Ilti or by other third parties on which \nServices rely (including connectivity and \ncommunication services). In the event that \nForce Majeure event extends (or is reasonably \nexpected by Ilti to extend) for a period of three \n(3) consecutive months, Ilti will be entitled to \ncancel all or any part of an Agreement without \nany liability towards Customer.\n9. \nLIMITED \nWARRANTY \nAND \nDISCLAIMER\n(a)In most instances, Ilti Products are sold \nsubject to an applicable standard limited \nwarranty either accompanying the product or \nas published on Ilti’s website as the standard \nwarranty applicable for a particular Product \n(the “Standard Product Warranty”). For any \nProduct that is sold by Ilti that is not subject \nto an applicable Standard Product Warranty, \nIlti warrants only that for one (1) year from \ndelivery to Customer the Products will be free \nfrom Defects. A “Defect” (or “Defective”) \nmeans, in relation to a Product, that a Product \nhas any defect in material or workmanship \nwhich causes the Product to fail to operate in \naccordance with the specifications provided \nby Ilti, with consideration given to the overall \nperformance of the Product and, in relation to \nServices, means that the Service has not been \nperformed in a competent, diligent manner. \n(b)Unless otherwise agreed by the Parties, Ilti \ndoes not provide any warranty for third party \nproducts.\n(c)In order to be entitled to make a valid claim \nunder warranty, Customer shall promptly \nnotify Ilti of alleged Defective Products or \nDefective Services prior to expiration of the \nwarranty period. In the event that Ilti decides, in \nits sole discretion, that a claim under warranty \nis valid, Ilti shall, within a reasonable time, at \nits own option, repair or offer replacement \nproducts for Defective Products, or remedy or \nsupplement any Defective Services. If despite \nreasonable efforts of Ilti, a Defective Product \ncannot be repaired, no replacement product \ncan be supplied or Defective Services cannot \nbe remedied or supplemented, Ilti shall make \nan appropriate refund or credit of monies paid \nby Customer for those Defective Products \nor Defective Services. Repairs, replacements \nor remedies will not extend or renew the \napplicable warranty period. Customer shall \nobtain consent from Ilti on the specifications \nof any tests it plans to conduct to determine \nwhether a Defect exists. Replacement \nproducts supplied by Ilti may have minor \ndeviations in design and\u002For specifications which \ndo not affect the functionality of replaced \nProduct. Customer shall not return Products \nto Ilti without consent of Ilti and unless in \naccordance with applicable Ilti’ return policies. \nIn the event that Ilti decides that a claim under \nwarranty is not valid, Customer will bear the \ncosts incurred by Ilti in handling and testing, \nand the transport of Products returned.\n(e)Any \nindemnification \nand \nwarranty \nobligations of Ilti under an Agreement \nare conditional upon (i) proper storage, \ninstallation, use, operation, and maintenance \nof Products, all in accordance with user \nmanuals, \nwarranty \npolicies \nand \nother \ninstructions or terms communicated by Ilti \nto Customer; (ii) Customer keeping accurate \nand complete records of operation and \nmaintenance during the warranty period and \nproviding Ilti access to those records; and (iii) \nmodification or repair of Products or Services \nonly as authorized by Ilti. Failure to meet these \nconditions renders the warranty null and void. \nIlti will not be responsible for normal wear and \ntear and environmental or stress testing. The \nwarranty provided in this section 9 does not \napply to damage or failure to perform arising \nas a result of any Force Majeure or from any \nabuse, misuse, abnormal use, improper power \nsupply, powers surges or fluctuations, corrosive \nenvironments, neglect, exposure or any use or \ninstallation in violation of the instructions or \nrestrictions prescribed by Ilti or any applicable \nstandard or code.\n(f)Any \nindemnification \nand \nwarranty \nobligation of Ilti under an Agreement will not \nestablish, by themselves, any liability to third \nparties or the public. Nothing in an Agreement \nwill be construed to create any obligation, \nstandard of care or liability to persons or third \nparties. \n(g)If a recall, retrofit, update, withdrawal \nor any other remedial action related to any \nProduct is required, Customer shall fully \ncooperate and shall provide such assistance as \nIlti may require. Customer shall keep accurate \nbooks and records to assure traceability of the \nProducts in the event of a Product recall or \nany other remedial actions.\n(h)SUBJECT \nTO \nTHE \nEXCLUSIONS \nAND LIMITATIONS SET OUT IN THE \nAGREEMENT, \nAND \nSUBJECT \nTO \nAPPLICABLE LAW, SECTIONS 9, 11 \nAND 12(b), (c) and (d) STATE THE ENTIRE \nLIABILITY OF ILTI AND ITS AFFILIATES \nIN CONNECTION WITH DEFECTIVE \nPRODUCTS OR DEFECTIVE SERVICES, \nREGARDLESS OF WHEN THE DEFECT \nARISES, AND WHETHER A CLAIM, \nHOWEVER DESCRIBED, IS BASED ON \nCONTRACT, WARRANTY, INDEMNITY, \nTORT \nOR \nEXTRA-CONTRACTUAL \nLIABILITY (INCLUDING NEGLIGENCE), \nSTRICT \nLIABILITY \nOR \nOTHERWISE, \nAND \nWILL \nEXTEND \nDIRECTLY \nTO \nCUSTOMER \nONLY \nAND \nNOT \nTO \nANY \nTHIRD \nPARTY, \nINCLUDING \nCUSTOMER’S \nCUSTOMERS, \nAGENTS \nOR REPRESENTATIVES. ILTI EXPRESSLY \nDISCLAIMS ALL OTHER WARRANTIES, \nWHETHER \nEXPRESS \nOR \nIMPLIED, \nINCLUDING BUT NOT LIMITED TO ANY \nWARRANTY AGAINST INFRINGEMENT \nOR \nIMPLIED \nWARRANTIES \nOF \nMERCHANTABILITY OR FITNESS FOR A \nPARTICULAR PURPOSE. AN ESSENTIAL \nPURPOSE OF THE LIMITED EXCLUSIVE \nLIABILITIES AND REMEDIES UNDER THE \nWARRANTY IS ALLOCATION OF RISKS \nBETWEEN ILTI AND CUSTOMER, WHICH \nALLOCATION OF RISKS IS REFLECTED \nIN THE PRICES.\n10. \nRIGHTS \nIN \nSOFTWARE, \nDOCUMENTATION AND INTELLECTUAL \nPROPERTY\n(a)Subject to Customer’s fulfillment of all \nobligations under the Agreement and these \nTerms, the supply of Products and\u002For Services \n(including software embedded in Products or \nServices) includes a non-exclusive and non-\ntransferable limited license (without the right \nto grant sublicenses) to Customer under any \nintellectual property rights (including patents, \nutility models, registered and unregistered \ndesigns, \ncopyrights, \ndatabase \nrights, \ntrademarks, domain names, trade secrets, \nknow-how, semiconductor IC topography \nrights and all registrations, applications, \nrenewals, extensions, combinations, divisions, \ncontinuations or reissues of any of the \nforegoing, collectively: “IPR”) of Ilti, to the \nlimited extent that such IPR is embodied \nor embedded in the Products or Services \npurchased, to use or resell the Products \n(including Documentation) as sold by Ilti, and\u002F\nor, for Services, to use the Services (including \nDocumentation) during the term of the \napplicable Agreement in accordance with the \napplicable Services description. No rights to \nIPR are conferred to Customer or any third \nparty other than explicitly granted under the \nAgreement or these Terms. \n(b)Customer acknowledges that third parties \nmay own IPR related to Products or Services. \nCustomer shall reproduce, without any \namendments or changes, any proprietary \nrights legends of Ilti or its third party suppliers \nin any software or Documentation provided by \nIlti. \n(c)Ilti will be free to use in any way or \nform \nany \nideas, \nsuggestions, \nfeedback \nor recommendations by Customer to Ilti \nregarding Products or Services (“Feedback”), \nwithout payment of royalties or other \nconsideration to Customer. Ilti will own all \nIPR in Feedback. Ilti is entitled to use output, \ndeliverables and creations resulting from the \nperformance of Services for its own publicity \nor for promotional purposes.\n11. INTELLECTUAL PROPERTY RIGHTS \nINDEMNITY\n(a)Customer shall promptly notify Ilti of \nany third party claim alleging that any of \nthe Products and\u002For Services supplied to \nCustomer by Ilti infringes any third party IPR. \nUpon such notice, Ilti may at its own option \nand at its own expense either: (i) procure for \nCustomer the right to continue using such \nProduct and\u002For Services; or (ii) provide a \nreplacement non-infringing product for such \nProduct of equivalent functionality; or (iii) \nmodify such Product such that it is no longer \ninfringing; or (iv) remedy such Service; or (v) \nmake an appropriate refund or credit of monies \npaid by Customer for that Product and\u002For \nServices.\n(b)In the event that a claim referred to under \nsection 11(a) results in any legal proceedings, \nCustomer shall give Ilti full authority, at the \noption and cost of Ilti, to settle or conduct the \ndefence of such claim. Customer shall provide \nIlti with all assistance as Ilti may reasonably \nrequire in connection with such defence of \nsuch claim. Customer shall not enter into any \nsettlement in connection with any such claim, \nnor incur any costs or expenses for the account \nof Ilti without the prior consent of Ilti.\n(c)Subject to the provisions of sections 11 and \n12, Ilti will reimburse Customer in respect \nof any final award of damages by a court of \ncompetent jurisdiction holding that Products \nand\u002For Services as supplied by Ilti under an \nAgreement directly infringe any third party \nIPR, provided that the infringement is held to \nbe directly and solely attributable to the use \nby Customer of the Products and\u002For Service as \nsupplied by Ilti under the Agreement.\n(d)Notwithstanding anything to the contrary \nprovided in the Agreement, Ilti will not be \nliable for, and the obligations of Ilti set out in \nthis section 11 will not apply to: (i) any claim of \ninfringement of third party IPR resulting from \ncompliance with Customer’s design, drawings, \nspecifications or instructions; or (ii) use of any \nProducts, deliverables and\u002For Services other \nthan in accordance with its specifications \nor any claim based on or resulting from any \nmodification or adaptation of a Product, \ndeliverables and\u002For Service made by or on \nbehalf of Customer; or (iii) any third party IPR \ncovering any assembly, circuit, combination, \nmethod or process, in the manufacture, testing \nor application in which such Products and\u002For \nServices supplied by Ilti may have been used; \nor (iv) any claim of infringement resulting from \ncompliance with an industry standard applying \nto the Products or Services.\n(e)With regard to any claim of infringement \ncovered by section 11 (d), Customer shall fully \nindemnify Ilti against any award of damages \nfor any such infringement and shall reimburse \nall costs incurred by Ilti in defending any \nsuit or proceeding for such infringement, \nprovided that Ilti gives Customer prompt \nnotice in writing of any such suit or proceeding \nfor infringement and, if so requested, full \nauthority to conduct the defence thereof.\n(f)In the event that Ilti receives notice claiming \ninfringement of third party IPR in relation to \nany Products and\u002For Services supplied or to \nbe supplied under an Agreement, Ilti may, in \norder to limit or avoid liability, terminate the \nAgreement, suspend or discontinue the supply \nor performance to Customer of the Products \nand\u002For Services or parts to which such notice \nrelates and Ilti will not be liable to Customer \nby virtue of such termination, suspension or \ndiscontinuation.\n(g)Subject to the exclusions and limitations \nset forth in section 12, the foregoing states the \nentire liability of Ilti for infringement of third \nparty IPR in connection with the supply of \nProducts and\u002For Services.\n12. LIMITATION OF LIABILITY\n(a) THE LIABILITY OF ILTI AND ITS \nAFFILIATES FOR ALL CLAIMS OF ANY \nKIND ARISING FROM OR RELATED \nTO THE PROVISION OF PRODUCTS \nOR SERVICES TO CUSTOMER, OR \nOTHERWISE UNDER AN AGREEMENT, \nINCLUDING \nANY \nINDEMNITIES, \nPENALTIES OR LIQUIDATED DAMAGE \n(“CLAIMS”), \nWILL \nBE \nLIMITED \nTO \nA \nMAXIMUM, \nAGGREGATE \nTOTAL \n(“LIABILITY \nCAP”) \nOF \n(I) \nTWENTY \nPERCENT \n(20%) \nOF \nTHE \nTOTAL \nPRICE PAID BY THE CUSTOMER FOR \nPRODUCTS AND\u002FOR SERVICES TO \nWHICH SUCH CLAIMS RELATE, OR (II) \nEUR 2,000,000, WHICHEVER IS LOWER. \nFOR SERVICES THAT ARE PERFORMED \nON THE BASIS OF SPECIFIED PHASES, \nTIME \nPERIODS \nOR \nMILESTONES \n(“MILESTONES”) AS MAY BE SPECIFIED \nIN AN AGREEMENT, THE LIABILITY CAP \nWILL FURTHER BE LIMITED TO TWENTY \nPERCENT (20%) OF THE TOTAL PRICE \nPER EACH SUCH MILESTONE FOR ALL \nCLAIMS ARISING FROM OR RELATED \nTO SUCH MILESTONE.\n(b) Ilti will not under any circumstances be \nliable for any lost profits, lost savings, loss \nof data, loss of reputation, loss of goodwill, \nindirect, incidental, punitive, special or \nconsequential damages, whether or not such \ndamages are based on tort, warranty, contract \nor otherwise – even if Ilti has been advised, or \nis aware, of the possibility of such damages.\n(c) In order to be entitled to make a valid \nClaim, Customer shall notify Ilti of any such \nClaim within thirty (30) days of the date of the \nevent giving rise to the Claim, and any lawsuit \nrelating to a Claim must be filed within one (1) \nyear of the date of such notification. Claims \nthat are not brought or filed in accordance \nwith the preceding sentence will be null and \nvoid.\n(d) The limitations and exclusions of liability \nwill apply only to the extent permitted by \napplicable mandatory law.\n13. CONFIDENTIALITY\nCustomer shall maintain any technical, \ncommercial \nand \nfinancial \ninformation, \nincluding any Offer and (pricing) terms, other \ndata disclosed to Customer by Ilti, and any \nFeedback, confidential and shall not disclose \nsuch information to any third party and shall \nnot use any such information for any purpose \nother than as agreed by the Parties and in \nrelation to the Offer and\u002For the Agreement. \n14. EXPORT\u002FIMPORT CONTROLS\n(a) Certain transactions of Ilti may be subject to \nexport or import controls laws and regulations \nthat prohibit or restrict the (re)export or \ntransfer of certain items to certain countries, \nentities or individuals, such as the laws and \nregulations of the UN, EU and US (“Export \nRegulations”). The (re)export or transfer of \nProducts and\u002For Services, as well as technical \nassistance, training, investments, financing, \nfinancial assistance, brokering and licensing \nof technology, are subject in all respects to \nthe applicable Export Regulations and to \nthe jurisdiction of the relevant authorities \nresponsible for Export Regulations. If any such \n(re-)export or transfer requires an export or \nimport license, or is otherwise prohibited or \nrestricted under Export Regulations, Ilti may, \nin its sole discretion, suspend its obligations to \nCustomer until such license is granted or for \nthe duration of any restrictions or prohibitions, \nor terminate (the relevant part of) the \nAgreement without incurring any liability. \n(b) Customer shall impose all export control \nrestrictions to any third party if the Products \nand\u002For Services are (re)exported or transferred \nto third parties. At the request of Ilti and if \nrequired by applicable Export Regulations, \nCustomer shall inform Ilti on any (re)export \nor transfer of the Products in order to comply \nwith Export Regulations and any other \nregulatory responsibilities governing the sale \nof the Products, including requirements on \nthe traceability of Products that may apply to \nIlti. Customer shall not provide any statement \nor certification in support of restrictive trade \npractices or boycotts.\n15. ASSIGNMENT\n(a) Customer may not assign an Agreement, \nor any of its rights or obligations thereunder, \nwithout the prior consent of Ilti.\n(b) Ilti may delegate, assign, sell, novate or \nsubcontract in part or in whole its obligations \nand rights (including receivables) under any \nAgreement to any of its affiliates or any third \nparty without the prior consent of Customer \n– and if such consent would be required \nunder applicable law, such consent is herewith \nprovided –, in which event Customer shall \ncooperate with Ilti efforts, including providing \nrelevant information, executing documents \nand making payments to accounts or third \nparties as notified by Ilti.\n16. \nCOMPLIANCE \nWITH \nLAWS; \nANTI-BRIBERY\n(a) Customer shall at all times comply and \nshall take all actions reasonably necessary to \nensure that its business partners shall comply, \nwith all applicable local and international laws \nand regulations, including on anti-bribery and \nanti-corruption and the Export Regulations \n(and in particular with Italian Legislative \nDecree 231\u002F01 as amended from time to \ntime). Accordingly, Customer shall conduct its \nbusiness honestly and not engage in any act of \nbribery or corruption.\n(b) Should Ilti receive any indications about a \nbreach of the obligation under (a) Customer \nshall cooperate and provide Ilti with all \ninformation required to allow Ilti to verify such \nindications, and if founded, section 18 will \napply. \n17. HEALTH AND SAFETY \n(a) The Parties shall comply with all applicable \nlegislation, \nrules \nand\u002For \nregulations \non \nthe health and safety of workers and\u002For \nemployees, as well as health and safety of \nthe public in the vicinity. Customer shall \nprovide and shall procure that its employees, \nagents, contractors or subcontractors provide \nsafe work surroundings for Personnel and \nother representatives and shall take those \nmeasures prescribed by law and any other \nmeasures necessary for the prevention \nof accidents at the site and to ensure the \n",31,{"image":138,"text":139,"number":140},"\u002Fmedia\u002Fimages\u002Fd4\u002F2472db744bbf1019e382b9d4f2fe3c-26bcd6a27e.32.png","health and safety of Personnel at the site. \nCustomer shall timely inform Personnel of \nrequired safety precautions and advise Ilti \nof all applicable site-specific health, safety, \nsecurity and environmental requirements \nand procedures. Ilti has the right, but not the \nobligation, to, from time to time, review and \ninspect applicable health, safety, security and \nenvironmental documentation, procedures \nand conditions at the site.\n(b) Customer shall ensure that no hazardous \nmaterials are present at the site. If, in the \nreasonable opinion of Ilti, the health, safety, \nor security of Personnel or the site is, or may \nbe, imperiled by security risks, terrorist acts or \nthreats, the presence of or threat of exposure \nto hazardous materials, or unsafe working \nconditions, Ilti may, in addition to other rights \nor remedies available to it, evacuate some or all \nPersonnel from the site (with the reasonable \nassistance of Customer), suspend performance \nof all or any part of an Agreement, and\u002For \nremotely perform or supervise Services (if \npossible) with no further liability to Customer.\n(c) Conditions at a site that differ materially \nfrom those disclosed by Customer, or \npreviously unknown physical conditions at site \nthat differ materially from those ordinarily \nencountered and generally recognized as \ninherent in work of the character provided for \nin the Agreement, will be deemed a Variation.\n18. \nBREACH; \nSUSPENSION; \nTERMINATION\n(a) In the event of (i) a breach by Customer \nof any of the provisions of the Agreement \nor these Terms, including any failure to pay \nany amount as and when due; or (ii) in the \nreasonable opinion of Ilti, the financial position \nof the Customer (or a material change thereof) \nis likely to affect Customer’s ability to perform \nits obligations under the Agreement; or (iii) \nany proceedings in insolvency, bankruptcy \n(including \nreorganization), \nliquidation \nor \nwinding up are instituted by or against \nCustomer, whether filed or instituted by \nCustomer (voluntarily or involuntarily), a \ntrustee or receiver is appointed over Customer, \nor any assignment is made for the benefit of \ncreditors of Customer; or (iv) Customer ceases, \nor threatens to cease, to carry on business, or \n(v) the control over or ownership of Customer \nchanges, then Ilti may declare all amounts \noutstanding by Customer immediately due \nand payable and may set off any amount that \nIlti (or any of its affiliates) owes to Customer \nunder any agreement including any advance \npayments or deposits made by Customer, \nagainst amounts due pursuant to section 18(b). \nIn addition, Ilti may in its sole discretion by \nnotice to Customer with immediate effect \nsuspend or cancel any performance due from \nIlti (including production, delivery, installation \nand commissioning of Products, obligations \nunder warranty and performance of Services) \nor terminate the Agreement or any part \nthereof, without any liability, and\u002For suspend or \ncancel any credit terms offered to Customer. \nIlti may only use the right to terminate an \nAgreement pursuant to this section if, in \nrespect of an event under (i) above that is \ncapable of being remedied, Customer fails to \nremedy the breach within fourteen (14) days, \nor in respect of an event under (ii), Customer \nfails to provide Ilti with a bank guarantee or \nother security to the satisfaction of Ilti within \nfourteen (14) days. \n(b) Customer shall indemnify, defend and \nhold harmless Ilti and its affiliates, and their \nofficers, \ndirectors, \nagents, \nemployees, \nsuccessors, and assigns from and against, all \nlosses (including loss of profits or turnover), \nliabilities, costs (including legal costs and costs \nincurred in relation to unfinished products) \nand expenses arising out of or in connection \nwith any of the following events: (i) a breach \nby Customer of any of the provisions or \nobligations of the Agreement or these Terms, \nor the occurrence of any of the other events \nset out in section 18(a); (ii) any claim by third \nparties for any loss, damage or injury or death \ncaused or alleged to be caused by the negligent \nuse, application, or installation of Products, \nor caused by any modification of Product or \nintegration of Product into other products \nnot authorized by Ilti, by Customer or its \ncontractors, agents, affiliates or customers to \nwhom it sold Product; or (iii) non-compliance \nby Customer with section 7(b), in which event \ncosts will include the full replacement costs of \nproducts, systems or other equipment. \n(c) Upon (early) termination or expiration \nof an Agreement, (i) all rights and licenses \ngranted to Customer under that Agreement \nwill immediately cease; (ii) Customer shall \nreturn, delete (including from all hard disks \nand memory) or destroy (and a duly appointed \nofficer shall certify to such destruction) \nall information disclosed under section 13, \nincluding software not embedded in Products, \nand all copies thereof; (iii) return to Ilti, at \nthe costs of Customer, any Products of which \n(legal) title has not passed to Customer (in \naccordance with section 7) and any other \nproducts, systems or equipment supplied \nand\u002For used by Ilti in the performance of \nthe Services; and (iv) all reasonable costs \nand expenses incurred by Ilti (including a \nreasonable profit) for any activities related \nto work performed by Ilti prior to such \ntermination will be considered due, payable \nand non-refundable. \n(d) In the event of a suspension that lasts for \nmore than two (2) months, the provisions of \nsection 18(c)(iv) will also be applicable to any \nactivities related to work performed by or for \nIlti prior to such suspension.\n(e) The rights of Ilti pursuant to this section \n18 will be in addition to any other rights and \nremedies Ilti may have at law or in equity. In \nthe event of termination of an Agreement, \nthe terms and conditions destined to survive \nsuch termination or expiration will so survive. \nTermination will not affect the rights of the \nParties accrued up to the date of termination.\n19. GOVERNING LAW AND FORUM\n(a) The laws of Italy govern all Agreements, \nOffers and these Terms, without regard to \nconflict of law principles. Any legal action or \nproceeding arising out of or in connection \nwith an Agreement, an Offer or these Terms \nthat cannot be settled through consultation in \ngood faith within thirty (30) days after notice \nfrom either Party that a dispute exists, will \nbe brought exclusively in the courts of Milan, \nItaly, provided that Ilti will always be permitted \nto bring any action or proceedings against \nCustomer in any other court of competent \njurisdiction. The United Nations Convention \non Contracts for the International Sale of \nGoods will not apply. \n(b) Nothing in this section 19 will be construed \nor interpreted as a limitation on either Party’s \nright under applicable law to seek injunctive \nor other equitable relief, to take any action to \nsafeguard its possibility to have recourse on the \nother Party or to bring action or proceedings \nin relation to any failure to pay any amount as \nand when due.\n20. PRIVACY AND USE OF DATA \n(a) Each Party shall comply with all applicable \ndata protection laws. Unless agreed otherwise \nby the Parties, Ilti (or its subcontractors) \nwill not process information relating to any \nidentified or identifiable natural persons \n(“Personal Data”) for Customer or on \nCustomer’s behalf. \n(b) Customer acknowledges and agrees that Ilti \nand its affiliated companies (or their respective \nsubcontractors) may collect information and \ndata generated from Products and Services \n(including any third party product, service \nor system provided in conjunction with the \nProduct and\u002For Service) and\u002For the use thereof \n(“Usage Data”). Ilti is entitled to use the Usage \nData, free of charge, at any time during the \nterm of an Agreement and afterwards, in its \nsole discretion for any purposes whatsoever, \nincluding to aggregate or compile Usage Data \nwith other data, create IPR or derivative works \nof or modify or adapt Usage Data to provide, \nmaintain, and improve products and services, \nand to develop new products or features or \nservices. \n21. MISCELLANEOUS\n(a) The invalidity or unenforceability of any \nprovision of these Terms or an Agreement will \nnot affect the validity or enforceability of any \nother provision thereof, all of which will remain \nin full force and effect. In the event of such \nfinding of invalidity or unenforceability, the \nParties shall endeavor to substitute the invalid \nor unenforceable provision(s) by such effective \nprovision(s) as will most closely correspond \nwith the original intention of the provision(s) so \nvoided. At reasonable notice, Customer shall \nassist Ilti in verifying Customer’s compliance \nwith the Agreement.\n(b) Any right of Ilti set out in these Terms will \nbe without prejudice to any rights or remedies \nIlti may have under the Agreement or at law \nor in equity. Customer acknowledges that Ilti \nLuce Srl and any of its affiliates are intended to \nbe third-party beneficiaries for purposes of all \nbenefits under, and may enforce the provisions \nof the Agreement, including these Terms, \nwhere applicable. The failure or the delay of \neither Party to enforce any provision of these \nTerms or an Agreement will not constitute a \nwaiver of such provision or a waiver to enforce \nit.\n(c) The terms of an Agreement (including \nthese Terms and any other terms and \nconditions forming part thereof) state \nthe entire understanding and agreement \nbetween the Parties as to the sale of Products \nand performance of Services under that \nAgreement and will supersede any prior \npromises, \nagreements, \nrepresentations, \nundertakings or implications whether made \norally or in writing between Ilti and Customer \nwith respect to the subject thereof. The Parties \nexpressly acknowledge that, in entering into \nan Agreement, no reliance has been placed \non any representations which have not been \nincorporated as part of that Agreement. OFFERTA, CONFERMA, ACCORDO\n(a) I presenti termini e condizioni (le \n“Condizioni”) si applicano alla vendita o \nalla fornitura di tutti i prodotti o sistemi (i \n“Prodotti”) e alla prestazione di tutti i servizi \n(che include qualsiasi software fornito come \nservizio) (i “Servizi”), da parte di Ilti Luce s.r.l. \n(“Ilti”), a Voi (il “Cliente”) e, di conseguenza, \ncostituiranno una parte imprescindibile di \nqualsiasi Offerta o Accordo. L’ordine da \nparte del Cliente di Prodotti o Servizi presso \nIlti costituisce un’accettazione delle presenti \nCondizioni, come se le stesse siano state \naggiornate alla data di tale ordine. \n(b) In caso di conflitto o incoerenza di \nqualsiasigenere tra le presenti Condizioni e \ni termini di qualsiasi Accordo od Offerta, \ni termini di tale Accordo od Offerta \nprevarranno. (c) Qualsiasi termine diverso o \naggiuntivo contenuto in qualsivoglia ordine, \nistruzione generale, termine d’acquisto o \naltro scritto del Cliente, sarà considerato una \nmodifica sostanziale alle presenti Condizioni, \nsarà espressamente contestato e rifiutato \ne non avrà alcuna forza o effetto. L’inizio \ndella prestazione o della spedizione non sarà \ninterpretato come accettazione di alcuno dei \ntermini o delle condizioni del Cliente. Ai fini \ndella modifica delle presenti Condizioni non \nsaranno di applicazione gli istituti della fase di \nesecuzione o dell’uso commerciale.\n(d) Le presenti Condizioni possono essere \nmodificate da Ilti tramite la pubblicazione di \nuna versione aggiornata sul suo sito web, a \ncondizione che, in riferimento a un Accordo \no un’Offerta, sia applicata la versione delle \nCondizioni vigente alla data di entrata in vigore \ndi detto Accordo o alla data di detta Offerta \n(e) Le Offerte di Ilti possono essere accettate \nentro il periodo in esse specificato, oppure, nel \ncaso in cui non sia specificato alcun periodo, \nentro trenta (30) giorni dalla loro data, fatto \nsalvo il diritto di Ilti di modificare, ritirare \no revocare qualsiasi Offerta in qualunque \nmomento, prima di aver ricevuto l’accettazione \ndella stessa. \nNessun ordine emesso dal Cliente sarà \nconsiderato definitivo o accettato da Ilti, a \nmeno a che, e fino al momento in cui, non sia \nstato confermato da quest’ultima.\n(f) Il Cliente è l’esclusivo responsabile \ndell’accuratezza \ndi \nqualsiasi \nordine, \nanche \nrelativamente \nalla \nspecifica, \nalla \nconfigurazione o ad altri requisiti dei Prodotti \ne dei Servizi, dell’efficienza, della compatibilità \ne dell’interfunzionalità con altri prodotti (non \nautorizzati da Ilti), nonché dell’adattamento a \nun particolare uso. Il Cliente garantisce che le \ninformazioni fornite a Ilti ai sensi di un Accordo \nsono complete, accurate e veritiere, e lo stesso \nCliente prende atto che il suo difetto nel \nfornire a Ilti medesima informazioni o istruzioni \ncomplete, accurate e veritiere può avere un \neffetto negativo sulla capacità di quest’ultima \ndi assolvere ai propri obblighi o esercitare i \npropri diritti derivanti da tale Accordo.\n(g) Tutti i cataloghi, le specifiche, i listini prezzi \no gli altri documenti analoghi preparati da \nIlti devono essere rigorosamente considerati \nstrumenti da utilizzarsi per comodità e non \nOfferte propriamente dette. Ilti ritiene che \ntale documentazione sia completa e accurata al \nmomento della sua stampa, ma non garantisce \nche sia priva di errori. Ilti non accetterà alcuna \nresponsabilità in merito a qualsiasi danno \nderivante da errori di misurazione, descrizioni, \nraccomandazioni di applicazione o altre \nistruzioni analoghe.\n(h) I Prodotti saranno forniti in conformità \nalle funzionalità, agli stili e alle dimensioni \nstandard descritti nei cataloghi di Ilti o, per \nProdotti speciali o realizzati su ordinazione, in \nconformità ai disegni e alle specifiche tecniche \ndi Ilti. In caso di contrasto tra un ordine del \nCliente e un disegno o specifica tecnica di Ilti \napprovati dal Cliente, questi ultimi prevarrano.\n(i) Le supposizioni, le esclusioni e i requisiti \ndichiarati da Ilti nelle Offerte, negli Accordi \no in qualsiasi altro documento guideranno \nl’Accordo e saranno interpretati come parte \nintegrante di esso, orientandone l’esecuzione e \nl’interpretazione.\n(j) Nel caso in cui il Cliente rivenda i Prodotti \no inserisca i Prodotti e\u002Fo i Servizi in offerte \nindirizzate ai suoi clienti, dovrà assicurare che \ntutti tali clienti e\u002Fo utenti finali dei Prodotti \no dei Servizi ottemperino a tutti i loro \ncorrispondenti obblighi imposti dall’Accordo \ne dalle presenti Condizioni, e inoltre dovrà \nassicurare che i termini dell’accordo da esso \nstipulato con ciascuno dei suoi clienti o utenti \nfinali siano coerenti con quelli dell’Accordo \ne con le presenti Condizioni; in difetto di \nciò, il Cliente dovrà indennizzare, difendere \ne mantenere indenne Ilti e le sue affiliate, \ncompresi i loro funzionari, direttori, agenti, \ndipendenti, successori e cessionari, da, e nei \nconfronti di, tutte le perdite, le responsabilità, \ni costi (comprese le spese legali) e gli esborsi \nderivanti o connessi a qualsiasi mancata \nottemperanza.\n2. \nPREZZI \nE \nCONDIZIONI \nDI \nPAGAMENTO\n(a) Quale controprestazione per la vendita dei \nProdotti e\u002Fo la prestazione dei Servizi da parte \ndi Ilti, il Cliente dovrà pagare tutti i prezzi e le\ncommissioni (i “Prezzi”) disposti dall’Accordo \ne dalla presente Sezione 2. I Prezzi sono \ndenominati in Euro e, fatto salvo qualsiasi \ndiverso accordo, sono prezzi Franco Fabbrica, \ncon consegna presso la sede di Ilti (secondo \nINCOTERMS, ultima versione). \nFatto salvo quando diversamente disposto \ndagli INCOTERMS applicabili, i Prezzi non \nincludono qualsivoglia tassa, diritto o altro \ncontributo governativo, applicati ora o in \nfuturo, compresa l’IVA o altre analoghe \ntasse imposte da qualsiasi governo; Ilti può \naggiungere queste voci al Prezzo o fatturarle \nseparatamente e il Cliente rimborserà la stessa \nIlti prontamente, a fronte della sua prima \nrichiesta.\n(b) Subordinatamente a una notifica inviata \nal Cliente, Ilti si riserva il diritto di adeguare \ni Prezzi dei Prodotti e\u002Fo Servizi non ancora \nconsegnati o prestati, in modo da riflettere le \nvariazioni dei singoli costi maggiori del cinque \npercento (5%), comprese le fluttuazioni dei \ntassi di cambio delle valute estere, i costi delle \nmaterie prime e gli altri costi di fabbricazione e \ndistribuzione, nonché i costi della manodopera, \nche siano applicati tra la data dell’Accordo e \nla consegna dei Prodotti e\u002Fo la prestazione \ndei Servizi. Inoltre, se un Accordo ha una \nvigenza superiore ai dodici (12) mesi, Ilti può \nadeguare i Prezzi a ciascun 1° aprile: (i) in base \nalla variazione dell’indice di inflazione di più \nrecente pubblicazione, rispetto ai dodici (12) \nmesi precedenti; e (ii) a riflettere le variazioni \ndel tasso di cambio estero tra il Dollaro USA e \nl’Euro e\u002Fo tra il Renminbi Cinese e l’Euro, pari \na più del 5% dalla data di un’Offerta.\n(c) Qualsiasi cancellazione, ritardo o altra \nmodifica da parte del Cliente di un ordine \nd’acquisto precedentemente accettato da \nIlti richiederà la preventiva approvazione di \nquest’ultima e tale approvazione sarà concessa \nsenza pregiudizio a qualsiasi diritto o rimedio \na cui la stessa Ilti possa fare ricorso ai sensi \ndell‘Accordo o in forza della legge. Qualora, \nsu richiesta del Cliente, Ilti acconsenta a \nuna qualsiasi di tali modifiche dell’ordine \nd’acquisto o alla modifica di un Accordo, \ncomprese la cancellazione (parziale), il ritardo \no la sospensione, l’aggiunta, l’omissione, la \nvariazione, la sostituzione o la modifica del \nprogetto, della qualità, dello standard, della \nquantità, del luogo di fabbricazione o della \nprestazione (inclusi la sequenza, le quantità \no la tempistica) dei Prodotti e\u002Fo dei Servizi \n(ciascuna denominata “Variazione”), ovvero \nqualora sia richiesta una Variazione a causa \ndi: (i) modifiche delle leggi, delle normative \no degli standard industriali applicabili; (ii) \nsituazioni di emergenza; (iii) informazioni \nerrate o incomplete fornite dal Cliente; ovvero \n(iv) mancato assolvimento da parte del Cliente \ndi uno qualsiasi dei suoi obblighi di cui a un \nAccordo, lo stesso Cliente dovrà rimborsare \nprontamente a Ilti tutti i costi e le spese \nsostenute relativamente a tale Variazione, a \nfronte della sua prima richiesta.\n(d) Ilti può presentare la fattura al Cliente \nall’atto della spedizione dei Prodotti, oppure \nquando i Servizi sono stati prestati. Ilti può \nrichiedere: (i) che il Cliente paghi in date \ndi pagamento prefissate; (ii) un acconto sul \nPrezzo (o su parte di esso); e\u002Fo (iii) l’emissione di \nfatture secondo diverse fasi specifiche, periodi \ndi tempo prefissati o stati di avanzamento \ndella prestazione. Il Cliente dovrà effettuare \ni pagamenti al netto, entro trenta (30) giorni \ndalla data della fattura, sul conto bancario \nindicato da Ilti. Il Cliente dovrà pagare tutti \ngli importi dovuti a Ilti in toto, senza alcuna \ncompensazione, riconvenzione, detrazione o \ntrattenuta (fiscale). Nonostante quanto sopra \nesposto, qualsiasi fattura che scada in una data \nche non sia un giorno lavorativo bancario dovrà \nessere pagata il giorno lavorativo bancario \nprecedente.\n(e) Nel caso in cui il Cliente non effettui \nqualsiasi pagamento dovuto ai sensi di \nun Accordo alla sua data di scadenza, \nindipendentemente dal fatto che Ilti gli abbia \ntrasmesso un formale sollecito di pagamento \noppure no, e oltre a qualsiasi altro diritto e \nrimedio a disposizione di quest’ultima, nella \nmisura consentita dalla legge applicabile: (i) \ntutti gli importi dovuti dal Cliente saranno \nconsiderati debiti ammessi, da pagarsi e non \ncontestabili; (ii) il Cliente dovrà pagare a Ilti \nl’interesse su tutti gli importi dovuti, dalla \ndata di scadenza fino al ricevimento del totale \npagamento, ai sensi dell’Art. 5 del Decreto \nLegislativo 231\u002F2002, a un tasso pari al tasso \nECB ufficiale più il 7%, ovvero nella misura \nconsentita dalla legge applicabile e dovrà \npagare a Ilti tutti i costi di riscossione del \npagamento, compresi gli emolumenti degli \navvocati; e (iii) Ilti può cancellare qualsiasi \ncredito concesso al Cliente e richiedere, a sua \nsoddisfazione, che quest’ultimo gli fornisca una \ngaranzia (aggiuntiva) o effettui dei pagamenti \nanticipati o dei depositi, e può applicare \ntermini aggiuntivi di pagamento condizionato \no accelerare il programma dei pagamenti per \nqualsiasi prestazione in sospeso.\n(f) Ilti può compensare e detrarre da qualsiasi \nimporto dovuto da essa (o da una qualsiasi delle \nsue affiliate) al Cliente, ai sensi di qualunque \naccordo, qualsiasi somma che lo stesso \nCliente le debba versare, ovvero compensare \ne detrarre qualsiasi acconto o deposito versati \ndal Cliente. Nel caso in cui Ilti compensi degli \nimporti in una valuta diversa, userà un tasso di \ncambio di uso comune.\n3. CONSEGNA DEI PRODOTTI;\nPRESTAZIONE DEI SERVIZI\n(a) \nFatto \nsalvo \nquanto \ndiversamente \nconvenuto, i Prodotti saranno consegnati \nFranco Fabbrica presso la sede di Ilti (secondo \nINCOTERMS, ultima versione). Ilti dovrà \nprestare i Servizi presso la(e) ubicazione(i) \nconvenute nell’Accordo. Le date comunicate \no ratificate da Ilti sono solo approssimative e \nla stessa Ilti non sarà responsabile, né violerà \ni suoi obblighi nei confronti del Cliente, in \ncaso di qualsiasi ritardo nella consegna o nella \nprestazione, a condizione che produca sforzi \ncommercialmente ragionevoli per rispettare \ntali date. In caso di ritardo, Ilti produrrà sforzi \ncommercialmente ragionevoli per consegnare \ni Prodotti o prestare i Servizi (ove applicabile) \nentro il periodo che sia ragionevolmente \nnecessario in considerazione della causa del \nritardo e, in difetto di ciò, il solo ed esclusivo \nrimedio a disposizione del Cliente sarà la \ncancellazione \ndell’ordine \nd’acquisto \nper \nmancata consegna dei Prodotti e dei Servizi.\n(b) \nIl \nCliente \ndovrà \nregistrare \nsulla \ndocumentazione \ndi \ntrasporto \nqualsiasi \ndanno ai Prodotti evidenziatosi durante la \nspedizione, o gli ammanchi dei Prodotti stessi, \nimmediatamente all’atto del ricevimento \ndei Prodotti, con la debita attenzione alle \nistruzioni impartite da Ilti o del vettore. Tutti \ni Prodotti consegnati ai sensi dell’Accordo \nsaranno considerati accettati dal Cliente in \nconformità all’Accordo stesso e il Cliente \nmedesimo non avrà diritto di revocare qualsiasi \naccettazione, a meno che non fornisca a Ilti \nla notifica di una presunta non conformità, \nentro sette (7) giorni dalla data della consegna. \nNonostante quanto sopra esposto, qualsiasi \nuso di un Prodotto da parte del Cliente o \ndei suoi clienti dopo la consegna costituirà \nun’accettazione di tale Prodotto da parte del \nCliente stesso. Ilti, a sua scelta ed entro un \ntermine ragionevole, dovrà risolvere le non \nconformità, riparando, rendendo disponibili \npezzi di ricambio, sostituendo o consegnando i \nProdotti mancanti, oppure dovrà rimborsare al \nCliente il Prezzo da esso pagato in ragione della \nmancata consegna dei Prodotti.\n(c) \nLe \nnon \nconformità \nminori \nnon \nostacoleranno o sospenderanno l’accettazione \ndei Prodotti, dei Servizi o di entrambi da \nparte del Cliente e Ilti dovrà risolverle entro \nun tempo ragionevole. Le “Non Conformità \nMinori” sono non conformità o anomalie che \nnon pregiudicano il funzionamento generale e \nl’utilizzo previsto dei Prodotti o dei Servizi in \naccordo alle specifiche. \n(d) Ilti può apportare modifiche al progetto, \nai materiali e alle finiture dei Prodotti o \nmodificare \n62 \n",33,{"image":146,"text":147,"number":148},"\u002Fmedia\u002Fimages\u002Fd4\u002F2472db744bbf1019e382b9d4f2fe3c-26bcd6a27e.34.png","i metodi di lavoro, i sistemi di comunicazione, il \nsoftware o qualsiasi altro elemento dei Servizi \ne della Documentazione, a condizione che tali \nmodifiche non influenzino in forma sostanziale \nla funzionalità di tali Prodotti o Servizi. Il \nCliente non dovrà utilizzare o fare affidamento \nsu Prodotti e Servizi destinati ad applicazioni o \nscopi diversi da quelli convenuti nell’Accordo.\n(d) In caso di ritardo o interruzione nella \nconsegna dei Prodotti o nella prestazione \ndei Servizi per ragioni non attribuibili a Ilti o \nderivanti da una Variazione, le tempistiche della \nprestazione da 182 183 parte di quest’ultima \nsaranno modificate di conseguenza. Ilti avrà \nla facoltà (oltre all’aumento dei costi a cui fa \nriferimento la Sezione 2(c)), a un ragionevole \nindennizzo da parte del Cliente di qualsiasi \ndanno e\u002Fo costo sostenuto in ragione di tale \nritardo.\n(e) Nel caso in cui un Accordo contenga \nrequisiti (minimi) in termini di scorte a \nmagazzino di competenza di Ilti, in seguito alla \nprima richiesta di quest’ultima, il Cliente dovrà \nacquistare i Prodotti disponibili a magazzino \nsulla base di tale requisito.\n4. UTILIZZO DEI PRODOTTI E DEI \nSERVIZI\n(a) Il Cliente dovrà utilizzare i Prodotti e i \nServizi solo per gli scopi a cui sono adibiti \ne in accordo a tutte le istruzioni contenute \nnei manuali, nelle linee guida, nei termini di \ngaranzia e in qualsiasi altro termine o condizione \napplicabile a tali Prodotti e Servizi, ovvero \nforniti da qualsiasi personale di Ilti assegnato da \nquest’ultima all’adempimento di un Accordo \no assunto in subappalto (il “Personale”). Il \nCliente dovrà mantenere in buone condizioni \ndi manutenzione e funzionamento il cantiere di \nlavoro, il suo stato di fatto e le apparecchiature \nfornite e\u002Fo utilizzate da Ilti per la prestazione \ndei Servizi (compresi i cavi, i raccordi e la \nfornitura di corrente elettrica), nonché dovrà \nproteggerli dai danni e dalle influenze esterne.\n(b ) Ilti non sarà responsabile nel caso in cui \nuno qualunque dei suoi Prodotti o Servizi non \nfornisca la prestazione, i benefici, gli effetti \no l’esito attesi, a causa de: (i) la mancata \nottemperanza da parte del Cliente dei termini \ncontenuti nell’Accordo; (ii) dei guasti o \ndelle fluttuazioni dell’energia elettrica; (iii) \nl’instabilità o la sospensione della connettività \ne delle tecnologie di comunicazione; (iv) dei \ncasi di Forza Maggiore e altre inusuali influenze \nesterne; o (v) delle Variazioni.\n5. \nSERVIZI \nDI \nPROGETTAZIONE; \nDOCUMENTAZIONE\n(a) Se compresi come parte dei Servizi, Ilti \ndovrà fornire i servizi di progettazione in \nconformità alle specifiche, secondo gli accordi \nadottati dalle Parti per iscritto. Fatto salvo \nquanto diversamente convenuto, tutti i DPI \n(nella definizione contenuta nella Sezione \n10(a)) sui e in riferimento ai risultati derivati \ndai servizi di progettazione saranno di esclusiva \ncompetenza di Ilti o di un suo nominato. \nIl Cliente non dovrà utilizzare, pubblicare, \ncopiare o rivelare questi DPI senza la preventiva \napprovazione di Ilti, che può essere concessa \ndalla stessa subordinatamente a determinate \ncondizioni, tra cui anche il pagamento di una \nragionevole commissione. \n(b)Tutta la documentazione fornita da Ilti \nin relazione ai Prodotti e Servizi, compreso \nqualsiasi manuale o istruzione d’uso, i \ncataloghi, le schede delle specifiche, i dati, \ni disegni, i programmi, i progetti, i codici \nsorgente o qualsivoglia altro documento o \ninformazione ottenuta da Ilti medesima, \no da questa creata, in qualunque forma, \ncompreso il formato elettronico o stampato \n(la “Documentazione”), resterà di proprietà \ndella stessa Ilti. La Documentazione non è \nvenduta al Cliente, ma concessa in licenza, \nsubordinatamente \nai \ntermini \ndi \nlicenza \ncontenuti nella Sezione 10 qui di seguito \nriportata. Fatto salvo quanto diversamente \nconvenuto, tutti i DPI sulla e in riferimento \nalla Documentazione sono trattenuti da Ilti \no da un suo nominato. Il Cliente non dovrà \nutilizzare, pubblicare, copiare o rivelare la \nDocumentazione, fatto salvo il caso in cui ciò \navvenga in accordo alle presenti Condizioni.\n6. INSTALLAZIONE; SERVIZI PRESSO IL \nCANTIERE DI LAVORO\nLa presente Sezione si applica ai casi in cui \nIlti (o il suo subappaltatore) svolgeranno le \nattività di costruzione, cablaggio o installazione \n(l’”Installazione” o “Installare”) o altri Servizi \npresso un cantiere di lavoro posseduto o \ncontrollato dal Cliente.\n(a) Il Cliente è responsabile del tempestivo \ncompletamento dei lavori preparatori e \ndegli allestimenti del cantiere, in conformità \ncon i requisiti imposti da Ilti. Il Cliente, \nprima dell’avvio presso il cantiere di lavoro \ndell’Installazione o degli altri Servizi convenuti, \nin modo che Ilti possa operare nel modo più \nefficiente possibile ed entro le tempistiche \nconvenute, dovrà: (i) predisporre nel cantiere \nle necessarie condizioni di lavoro (comprese \nle infrastrutture) e mantenerle in essere; \n(ii) fornire tutte le informazioni, istruzioni, \nispezioni, autorizzazioni, approvazioni e tutti i \npermessi necessari e indicare a Ilti l’ubicazione \ndi qualsiasi cavo, linea elettrica, condotta \nd’acqua o altri impianti similari, compresi i \nrilevamenti descrittivi delle caratteristiche \nfisiche, le limitazioni legali e le ubicazioni delle \nutenze del cantiere; (iii) agevolare l’accesso \nal cantiere, regolandone il traffico, ove \napplicabile; e (iv) mettere a disposizione di Ilti \ntutti i materiali, gli strumenti, le costruzioni e \ngli altri impianti, oltre a fornirle qualsiasi altra \nragionevole assistenza, in maniera accurata \ne tempestiva e senza costi aggiuntivi per la \nstessa Ilti, il tutto in conformità con le leggi \napplicabili, tra cui tutte le normative applicabili \nin materia di salute e sicurezza, impianti \nelettrici ed edilizia.\n(b) Il Cliente non dovrà convocare Ilti in \ncantiere prima che siano stati assolti in modo \nsoddisfacente gli obblighi di cui alla Sezione \n6(a). In caso di tempi di attesa pari a più di \nquattro (4) ore al giorno, per quel giorno Ilti \npuò riprogrammare e addebitare al Cliente \nuna giornata lavorativa completa per le risorse \ncoinvolte. \n(c) Alla conclusione dell’Installazione o \ndegli altri Servizi presso il cantiere, Ilti dovrà \navvertire il Cliente, in accordo al verbale di \naccettazione convenuto tra le Parti. \n7. RISCHIO E TITOLO\n(a) Il rischio di danno o perdita ai Prodotti sarà \ntrasferito al Cliente: (i) all’atto della consegna \ndegli stessi da parte di Ilti a quest’ultimo, \nin accordo agli INCOTERMS applicabili; o \n(ii) nel caso in cui Ilti installasse i Prodotti \npresso il cantiere, salvo quanto diversamente \nconvenuto, alla loro consegna in cantiere.\n(b) Il titolo legale ai Prodotti sarà trasferito al \nCliente solo quando Ilti (o i suoi finanziatori) \nabbia(no) ricevuto il totale pagamento di \ntali Prodotti e, nella misura consentita dalla \nlegge applicabile, abbiano riscosso il totale \npagamento di tutte le altre somme dovute \ndal Cliente stesso ai sensi di qualsivoglia altro \naccordo con Ilti medesima (o una qualunque \ndelle sue affiliate). \n8. FORZA MAGGIORE\nIlti non sarà responsabile di qualsiasi violazione \nrisultante da un caso di Forza Maggiore. \nSe si verifica un caso di Forza Maggiore, \nl’ottemperanza degli obblighi da parte di Ilti \nsarà sospesa per il periodo di durata di tale \ncaso. Per forza “Forza Maggiore” si deve \nintendere qualsiasi circostanza od occorrenza \nche vada oltre il ragionevole controllo di \nIlti, indipendentemente dal fatto che sia \nprevedibile o meno nel corso della vigenza di \nun Accordo, circostanza in conseguenza della \nquale la stessa Ilti non possa ragionevolmente \nottemperare o assolvere ai propri obblighi, \ncompresi, a solo titolo illustrativo e non \nlimitativo, i casi fortuiti, le catastrofi naturali \ntra cui il terremoto, il fulmine, l’uragano, il \ntifone, l’alluvione, le attività vulcaniche o le \ncondizioni atmosferiche estreme, gli scioperi, \nle serrate, la guerra, gli atti di terrorismo, la \nsituazione politica avversa, i disordini civili, \nle rivolte, il sabotaggio, il vandalismo, gli \nammanchi a livello di intero settore, i guasti di \nimpianti o macchinari, il difetto o la mancanza \ndi energia elettrica, gli attacchi informatici \ne l’hackeraggio o la non ottemperanza da \nparte dei fornitori di Ilti o di altri terzi sui \nquali si fondano i Servizi (compresi i servizi di \nconnettività e comunicazione). Nel caso in cui \nun caso di Forza Maggiore si protragga (o sia \natteso protrarsi da Ilti) per un periodo di tre (3) \nmesi consecutivi, quest’ultima avrà la facoltà di \ncancellare un Accordo in essere in toto o in \nqualsiasi sua parte, senza alcuna responsabilità \nnei confronti del Cliente\n9. GARANZIA LIMITATA ED ESCLUSIONE \nDI\nRESPONSABILITÀ\n(a) In molti casi i Prodotti Ilti sono venduti \nsubordinatamente a una garanzia limitata \nstandard applicabile, che può essere annessa \nall’articolo o pubblicata sul sito web della \nstessa Ilti, quale garanzia standard applicabile \na un particolare Prodotto (la “Garanzia \nStandard di Prodotto”). Per qualsiasi Prodotto \nvenduto da Ilti non subordinato a una Garanzia \nStandard di Prodotto, quest’ultima garantisce \nsolamente che, per la durata di un (1) anno \ndalla consegna al Cliente, i Prodotti saranno \nprivi di Difetti. Per “Difetto” (o “Difettoso”) \nsi deve intendere, in riferimento a un Prodotto, \nla condizione per cui sia presente un qualsiasi \nvizio di materiale o manodopera che faccia in \nmodo che lo stesso non funzioni secondo le \nspecifiche fornite da Ilti, in considerazione della \nprestazione complessiva del Prodotto stesso e, \nin riferimento a un Servizio, la condizione per \ncui lo stesso non sia stato prestato in modo \ncompetente e diligente.\n(b) \nFatto \nsalvo \nquanto \ndiversamente \nconvenuto dalle Parti, Ilti non fornisce alcuna \ngaranzia per prodotti di terzi.(c) Per avere \ndiritto a presentare un reclamo in garanzia \nvalido, il Cliente dovrà notificare prontamente \na Ilti i Prodotti Difettosi o i Servizi Difettosi \npresunti, prima della scadenza del periodo di \ngaranzia. Nel caso in cui Ilti, a sua esclusiva \ndiscrezione, decidesse che un reclamo in \ngaranzia sia valido, entro un periodo di tempo \nragionevole e a sua scelta dovrà riparare od \noffrire dei prodotti in sostituzione dei Prodotti \nDifettosi, ovvero sanare o integrare qualsiasi \nServizio Difettoso. Se nonostante i ragionevoli \nsforzi di Ilti un Prodotto Difettoso non può \nessere riparato, non è possibile fornire un \npezzo di ricambio o i Servizi Difettosi non \npossono essere sanati o integrati, la stessa \nIlti dovrà predisporre un idoneo rimborso \no accreditare il denaro pagato dal Cliente a \nfronte di tali Prodotti o Servizi Difettosi. Le \nriparazioni, le sostituzioni o i risanamenti non \nprorogheranno o rinnoveranno il periodo di \ngaranzia applicabile. Il Cliente dovrà ottenere \nil consenso di Ilti riguardo alle specifiche di \nqualsiasi test che pianifichi di condurre per \ndeterminare l’esistenza o meno di un Difetto. I \npezzi di ricambio forniti da Ilti possono deviare \nleggermente da quelli originari, in termini di \nprogetto e\u002Fo specifica e ciò non influenzerà \nla \nfunzionalità \ndei \nProdotti \nsostituiti. \nRelativamente a qualsiasi Prodotto sostituito \no rimborsato, Ilti, a sua esclusiva discrezione, \npuò pretendere di rientrare in possesso dei \nprodotti sostituiti o rimborsati e domandare \nal Cliente di restituirglieli; in alternativa, può \nchiedere allo stesso Cliente di distruggerli a \nproprie spese. \n(d) Il Cliente dovrà sostenere le spese di \naccesso al cantiere di lavoro per permettere \na Ilti di intervenire in garanzia e porre rimedio \nai Difetti e, tra gli interventi, sono inclusi la \nrimozione e la sostituzione di sistemi, strutture \ne altre parti dell’impianto del Cliente, lo \nsmontaggio dei Prodotti Difettosi e la \nreinstallazione dei pezzi di ricambio. Il Cliente \nnon dovrà restituire Prodotti a Ilti senza il suo \nconsenso e senza conformarsi alle applicabili \npolitiche di restituzione di Ilti stessa. Nel \ncaso in cui Ilti decidesse che un reclamo in \ngaranzia non fosse valido, il Cliente sosterrà \nle spese sostenute da quest’ultima per la \nmovimentazione, i test condotti e il trasporto \ndei Prodotti restituiti.\n(e) Qualsiasi obbligo di indennizzo e garanzia \ndi Ilti di cui a un Accordo è condizionato a: (i) \nl’idoneo magazzinaggio, montaggio, utilizzo, \nfunzionamento e manutenzione dei Prodotti, \ntutti in conformità ai manuali d’uso, alle \npolitiche di garanzia e alle altre istruzioni o \nagli altri termini comunicati da Ilti medesima \nal Cliente; (ii) la tenuta, da parte del Cliente, \ndi registrazioni accurate e complete del \nfunzionamento e della manutenzione nel \ncorso del periodo di garanzia, a condizione \nche Ilti abbia accesso a tali registrazioni; e \n(iii) la modifica o la riparazione dei Prodotti \no dei Servizi avvenga solo con l’autorizzazione \ndi Ilti. Il mancato assolvimento delle presenti \ncondizioni rende la garanzia nulla e invalida. Ilti \nnon sarà responsabile della normale usura e dei \ntest ambientali o degli stress test. La garanzia \nfornita nella presente Sezione 9 non si applica \nal danno o al guasto di funzionamento derivanti \nda qualsiasi caso di Forza Maggiore, nonché da \nqualsiasi abuso, utilizzo errato o anomalo, una \ninadatta fornitura di energia elettrica, picchi \no fluttuazioni dell’energia, ambienti corrosivi, \nincuria, esposizione, utilizzo o installazione di \nqualsiasi genere in violazione delle istruzioni o \ndelle restrizioni imposte da Ilti o da qualsivoglia \nstandard o norma applicabile.\n(f) Qualsiasi obbligo di indennizzo e garanzia \ndi Ilti derivante da un Accordo non costituirà, \nin se stesso, alcuna responsabilità verso terzi \no verso il pubblico. Nulla che sia contenuto in \nun Accordo sarà interpretato con la finalità di \ncreare qualsiasi obbligo, standard di diligenza o \nresponsabilità averso persone o terzi.\n(g) Se sono richiesti: un richiamo, un retrofit, \nun aggiornamento, un ritiro o qualsiasi altra \nazione correttiva su qualsiasi Prodotto, il \nCliente dovrà collaborare appieno e fornire \na Ilti l’assistenza di cui potrà avere bisogno. Il \nCliente compilerà accurati libri e registrazioni \nper assicurare la tracciabilità dei Prodotti, \nin caso di richiamo o di qualsiasi altra azione \ncorrettiva.\n(h) \nSUBORDINATAMENTE \nALLE \nESCLUSIONI \nE \nALLE \nLIMITAZIONI \nSPECIFICATE \nNELL’ACCORDO, \nE \nSUBORDINATAMENTE \nALLA \nLEGGE \nAPPLICABILE, LE SEZIONI 9, 11 E \n12(b), (c) e (d) SANCISCONO L’INTERA \nRESPONSABILITÀ DI ILTI E DELLE SUE \nAFFILIATE, IN RELAZIONE AI PRODOTTI \nDIFETTOSI O AI SERVIZI DIFETTOSI, \nINDIPENDENTEMENTE DAL MOMENTO \nIN CUI IL DIFETTO SI EVIDENZI E DAL \nFATTO CHE UN RECLAMO, IN QUALSIASI \nMODO \nSIA \nESSO \nDESCRITTO, \nSI \nFONDI SU UN CONTRATTO, UNA \nGARANZIA, \nUN’ASSICURAZIONE, \nUNA \nRESPONSABILITÀ \nPER \nATTO \nILLECITO \nO \nEXTRACONTRATTUALE \n(COMPRESA LA NEGLIGENZA), UNA \nRESPONSABILITÀ GRAVE O ALTRO, \nE SARÀ ESTESA AL SOLO CLIENTE E \nNON A TERZI DI QUALSIASI GENERE, \nCOMPRESI I CLIENTI, GLI AGENTI O I \nRAPPRESENTANTI DEL CLIENTE. ILTI \nDISCONOSCE ESPRESSAMENTE TUTTE \nLE ALTRE GARANZIE, SIA ESPRESSE CHE \nIMPLICITE, COMPRESE, A SOLO TITOLO \nILLUSTRATIVO \nE \nNON \nLIMITATIVO, \nQUALSIASI GARANZIA CONTRO LA \nVIOLAZIONE E LE GARANZIE IMPLICITE \nDI COMMERCIABILITÀ O IDONEITÀ A \n",34,{"image":150,"text":151,"number":152},"\u002Fmedia\u002Fimages\u002Fd4\u002F2472db744bbf1019e382b9d4f2fe3c-26bcd6a27e.35.png","UN PARTICOLARE SCOPO. UNO SCOPO \nESSENZIALE DELLE RESPONSABILITÀ \nESCLUSIVE LIMITATE E DEI RIMEDI IN \nGARANZIA È LA DISTRIBUZIONE DEI \nRISCHI TRA ILTI E IL CLIENTE, LA QUALE \nÈ RIFLESSA NEI PREZZI.\n10. DIRITTI SUL SOFTWARE,\nDOCUMENTAZIONE E PROPRIETÀ\n INTELLETTUALE\n(a)Subordinatamente \nall’assolvimento \nda \nparte del Cliente di tutti gli obblighi di cui \nall’Accordo e delle presenti Condizioni, la \nfornitura di Prodotti e\u002Fo Servizi (compreso il \nsoftware integrato in detti Prodotti o Servizi) \ncomprende una licenza limitata non esclusiva \ne non cedibile (senza il diritto di concedere \nsublicenze) concessa al Cliente sulla base \ndi qualsiasi diritto di proprietà intellettuale \n(compresi i brevetti, i modelli di utilità, i \nprogetti registrati e non registrati, i copyright, \ni diritti sulle banche dati, i marchi di fabbrica, \ni nomi di dominio, i segreti commerciali, \ni know-how, i diritti di topografia dei CI a \nsemiconduttori, nonché tutte le registrazioni, \nrichieste, proroghe, combinazioni, divisioni, \ncontinuazioni o riemissioni di uno qualunque dei \nsopraccitati, qui collettivamente denominati \n“DPI” (Diritti di Proprietà Industriale)) di \nIlti, nella misura limitata in cui tali DPI siano \nincorporati o integrati nei Prodotti o Servizi \nacquistati, ai fini di utilizzare o rivendere i \nProdotti (compresa la loro Documentazione), \ncome venduti dalla stessa Ilti e\u002Fo, per i Servizi, \nai fini di utilizzare detti Servizi (compresa \nla Documentazione) nel corso della vigenza \ndell’Accordo applicabile, in conformità alla \ndescrizione degli stessi di cui si tratti. Non è \nconferito al Cliente o a terzi alcun diritto ai \nDPI che sia diverso da quelli esplicitamente \nconcessi ai sensi dell’Accordo o delle presenti \nCondizioni. \n(b) Il Cliente prende atto che il DPI relativo \nai Prodotti o ai Servizi può essere di proprietà \ndi terzi. Il Cliente dovrà riprodurre, senza \nalcuna correzione o modifica, qualsiasi legenda \ndescrittiva di qualsivoglia diritto di proprietà \nesclusiva di Ilti o di fornitori terzi, riportato in \nqualsiasi software o Documentazione fornita \nda quest’ultima.\n(c) Ilti sarà libera di utilizzare in qualsiasi modo \no forma qualsivoglia idea, suggerimento, \nindicazione post-vendita o raccomandazione \nricevuta dal Cliente relativamente ai prodotti \no ai Servizi (il “Feedback”), senza dover \npagare al Cliente stesso una royalty o un’altra \ncontroprestazione. Ilti sarà proprietaria di tutti \ni DPI sul Feedback. Ilti ha la facoltà di utilizzare \ni risultati, i prodotti finali e le creazioni \nderivanti dalla presentazione dei Servizi per la \nsua pubblicità o per scopi promozionali.\n11. \nINDENNIZZO \nPER \nDIRITTI \nDI \nPROPRIETÀ INTELLETTUALE\n(a) Il Cliente dovrà prontamente notificare a \nIlti qualsiasi reclamo di terzi che sostenga che \nqualunque Prodotto e\u002Fo Servizio a lui fornito \ndalla stessa Ilti sia violativo di qualsivoglia DPI \ndi terzi. Al ricevimento di tale notifica, Ilti, a \npropria scelta e spesa, può: (i) procurare al \nCliente il diritto di continuare a utilizzare tale \nProdotto e\u002Fo Servizio; (ii) fornire un pezzo di \nricambio non violativo per tale Prodotto, di \nfunzionalità equivalente; (iii) modificare tale \nProdotto in modo che non sia più violativo; \n(iv) sanare tale Servizio; o (v) predisporre un \nidoneo rimborso o accreditare il denaro pagato \ndal Cliente per tale Prodotto e\u002Fo Servizio.\n(b) Nel caso in cui un reclamo presentato ai \nsensi della Sezione 11(a) sfoci in un qualunque \nprocedimento legale, il Cliente dovrà conferire \na Ilti la piena autorità, a scelta e a spese di \nquest’ultima, di comporre tale vertenza o \ncondurne la difesa. Il Cliente dovrà fornire a \nIlti tutta l’assistenza che quest’ultima potrà \nragionevolmente necessitare in relazione alla \ndifesa da tale reclamo. Il Cliente non dovrà \naddivenire ad alcuna composizione in relazione \na un qualunque reclamo di tal genere, né \nsostenere alcun costo o spese per conto di Ilti, \nsenza il preventivo consenso di quest’ultima.\n(c) \nSubordinatamente \nalle \ndisposizioni \ncontenute nelle Sezioni 11 e 12, Ilti dovrà \nrisarcire il Cliente in riferimento a qualsiasi \nsentenza definitiva di risarcimento di danni \nemessa da un tribunale della competente \ngiurisdizione, che sostenga che i Prodotti e\u002Fo \ni Servizi forniti da Ilti medesima ai sensi di un \nAccordo violano direttamente i DPI di terzi \nqualsiasi, a condizione che la violazione sia \nda ritenersi direttamente ed esclusivamente \nattribuibile all’utilizzo da parte del Cliente dei \nProdotti e\u002Fo dei Servizi come forniti da Ilti ai \nsensi dell’Accordo.\n(d) Nonostante qualsiasi indicazione del \ncontrario disposta nell’Accordo, Ilti non sarà \nresponsabile di, e i suoi obblighi specificati \nnella presente Sezione 11 non si applicheranno \na,: (i) qualsiasi reclamo di violazione di DPI \ndi terzi risultante dalla conformità con il \nprogetto, i disegni, le specifiche o le istruzioni \ndel Cliente; (ii) l’utilizzo di qualsiasi Prodotto, \nrisultato e\u002Fo Servizio non in accordo alle sue \nspecifiche o qualsiasi reclamo fondato su, o \nrisultante da, qualsiasi modifica o adattamento \ndi un Prodotto, risultato e\u002Fo Servizio \neffettuati dal, o per conto del, Cliente; (iii) \nqualsiasi DPI di terzi che copra qualunque \nassemblaggio, circuito, combinazione, metodo \no processo, nella fabbricazione, nel testing o \nnell’applicazione in cui tali Prodotti e\u002Fo Servizi \nforniti da Ilti possano essere stati utilizzati; o \n(iv) qualsiasi reclamo di violazione risultante \ndalla conformità con uno standard industriale \nche si applichi ai Prodotti o ai Servizi.\n(e) Relativamente a qualsiasi reclamo di \nviolazione previsto dalla Sezione 11(d), il \nCliente dovrà indennizzare pienamente Ilti \nrispetto a qualunque sentenza di risarcimento \ndi danni a fronte di qualsivoglia violazione di \ntal genere e dovrà rimborsare tutte le spese \nsostenute da quest’ultima per la difesa da \nqualunque azione legale o procedimento \navente a oggetto tale violazione, a condizione \nche la stessa Ilti trasmetta prontamente al \nCliente una notifica scritta che lo informi di \ntale azione o procedimento per violazione e, se \ncosì richiesto, concedergli la piena autorità di \ncondurne la difesa.\n(f) Nel caso in cui Ilti ricevesse una notifica \nche sostenesse una violazione di DPI di \nterzi in relazione a qualsiasi Prodotto e\u002Fo \nServizio fornito o da fornirsi ai sensi di un \nAccordo, la stessa Ilti, per limitare o evitare la \nresponsabilità, può risolvere l’Accordo stesso, \nsospendere o interrompere la fornitura o la \nprestazione al Cliente dei Prodotti e\u002Fo Servizi, \novvero delle parti a cui tale notifica si riferisce, \ne la stessa non sarà ritenuta responsabile nei \nconfronti del Cliente in virtù di tale risoluzione, \nsospensione o interruzione. \n(g) Subordinatamente alle esclusioni e \nlimitazioni specificate nella Sezione 12, quanto \nesposto sopra illustra l’intera responsabilità di \nIlti per il caso di violazione di DPI di terzi in \nrelazione alla fornitura dei Prodotti e \u002Fo dei \nServizi. \n12. LIMITAZIONE DI RESPONSABILITÀ \n(a) LA RESPONSABILITÀ DI ILTI E \nDELLE \nSUE \nAFFILIATE \nRELATIVA \nA TUTTI I RECLAMI DI QUALSIASI \nGENERE DERIVANTI DA, O CONNESSI \nA, LA FORNITURA DI PRODOTTI O \nDI SERVIZI AL CLIENTE, O IN ALTRO \nMODO DA UN ACCORDO, COMPRESI \nQUALSIASI \nINDENNIZZO, \nPENALE \nO LIQUIDAZIONE ANTICIPATA DEL \nDANNO (I “RECLAMI”), SARÀ LIMITATA \nA UN TOTALE COMPLESSIVO MASSIMO \n(IL “MASSIMALE DI RESPONSABILITÀ”) \nPARI AL: (I) VENTI PERCENTO (20%) DEL \nPREZZO TOTALE PAGATO DAL CLIENTE \nPER I PRODOTTI E\u002FO I SERVIZI A CUI TALI \nRECLAMI SI RIFERISCONO, OPPURE (II) \n2.000.000,00 DI EURO, A SECONDA DI \nQUALE SARÀ L’IMPORTO \nINFERIORE. PER I SERVIZI PRESTATI \nSULLA BASE DI FASI SPECIFICHE, \nPERIODI DI TEMPO PREFISSATI O \nSTATI DI AVANZAMENTO (GLI “STATI \nD’AVANZAMENTO”, EVENTUALMENTE \nINDICATI \nIN \nUN \nACCORDO, \nIL \nMASSIMALE \nDI \nRESPONSABILITÀ \nSARÀ ULTERIORMENTE LIMITATO AL \nVENTI PERCENTO (20%) DEL PREZZO \nTOTALE \nPER \nCIASCUNO \nDI \nTALI \nSTATI D’AVANZAMENTO, PER TUTTI I \nRECLAMI DERIVANTI DA, O RELATIVI \nA, DETTI STATI. (b) In nessuna circostanza Ilti \nsarà responsabile di qualsiasi mancato profitto, \nmancati risparmi, perdita di dati, reputazione o \navviamento, danni indiretti, accessori, punitivi, \nspeciali o consequenziali, indipendentemente \ndal fatto che tali danni siano basati su un \nillecito, una garanzia, un contratto o altro – \nanche se Ilti è stata avvertita o è al corrente \ndella possibilità di occorrenza di tali danni.\n(c) Per avere il diritto di presentare un Reclamo \nvalido, il Cliente dovrà notificare a Ilti qualsiasi \nReclamo di tal genere entro trenta (30) giorni \ndalla data dell’evento che vi ha dato luogo e \nqualsiasi azione legale relativa a un Reclamo \ndeve essere depositata entro un (1) anno dalla \ndata di tale notifica. I Reclami che non siano \nstati presentati o depositati in conformità al \ncomma precedente saranno nulli e invalidi. \n(d) Le limitazioni e le esclusioni di responsabilità \nsi applicheranno solo nella misura in cui siano \nconsentite dalla legge vincolante applicabile. \n13. RISERVATEZZA\nIl Cliente dovrà mantenere riservata qualsiasi \ninformazione \ntecnica, \ncommerciale \ne \nfinanziaria, compresa qualsivoglia Offerta e le \ncondizioni (di prezzo), gli altri dati rivelatigli da \nIlti e qualunque Feedback, e non dovrà rivelare \ntali informazioni a terzi e utilizzarle per qualsiasi \nscopo diverso da quello convenuto dalle Parti e \nin riferimento all’Offerta e\u002Fo all’Accordo.\n14.CONTROLLI \nDI \nESPORTAZIONI\u002F \nIMPORTAZIONI\n (a) Talune transazioni di Ilti possono essere \nsubordinate alle leggi e alle normative in \nmateria di controllo delle esportazioni o delle \nimportazioni, che vietano o limitano la (ri)\nesportazione o la cessione di determinati \narticoli \na \ndeterminati \nPaesi, \nentità \no \nindividui, come le leggi e le normative delle \nNU, dell’UE e degli USA (le “Normative \nsull’Esportazione”). La (ri)esportazione o \nla cessione di Prodotti e\u002Fo Servizi, nonché \nl’assistenza, l’addestramento, gli investimenti, \nl’assistenza finanziaria, il brokeraggio e la \nconcessione in licenza di tecnologia sono \nsubordinati, in tutti i loro aspetti, alle \nNormative sull’Esportazione applicabili e alla \ngiurisdizione delle corrispondenti autorità \nresponsabili di tali Normative. Qualora una \nqualsiasi di tali (ri)esportazioni o cessioni \nrichiedesse una licenza di esportazione o \nimportazione, o sia in altro modo vietata o \nlimitata dalle Normative sull’Esportazione, \nIlti, a sua esclusiva discrezione, può sospendere \ni propri obblighi nei confronti del Cliente \nfino a che tale licenza non sia stata concessa \no per tutta la durata di uno qualunque di tali \nrestrizioni o divieti, ovvero risolvere l’Accordo \n(o la parte di esso a ciò relativa), senza dover \nsostenere alcuna responsabilità. \n(b) Qualora i Prodotti e\u002Fo i Servizi siano (ri)\nesportati o ceduti a terzi, il Cliente dovrà \nimporre a tali terzi tutte le restrizioni in \nmateria di controllo delle esportazioni. Su \nrichiesta di Ilti e se preteso dalle Normative \nsull’Esportazione \napplicabili, \nil \nCliente \ndovrà informare la stessa Ilti di qualsiasi (ri)\nesportazione o cessione dei Prodotti, ai fini di \nottemperare a dette Normative e di assolvere \na qualsivoglia altra responsabilità legale che \nregga la vendita dei Prodotti, compresi i \nrequisiti di tracciabilità degli stessi che possono \napplicarsi a Ilti medesima. Il Cliente non dovrà \nfornire alcuna dichiarazione o certificazione a \nsostegno di pratiche commerciali restrittive o \nboicottaggi.\n15. CESSIONE\n(a) Il Cliente non può cedere un Accordo, né \nuno qualsiasi dei suoi diritti od obblighi da esso \nderivanti, senza il preventivo consenso di Ilti. \n(b) Ilti può delegare, cedere, vendere, novare \no subappaltare, in toto o in parte, i propri \nobblighi e diritti (compresi i crediti esigibili) \nai sensi di qualsiasi Accordo, a una qualunque \ndelle sue affiliate o a terzi, senza il preventivo \nconsenso del Cliente – e qualora tale consenso \nfosse richiesto ai sensi della legge applicabile, \ntale consenso è qui fornito – caso nel quale il \nCliente dovrà collaborare con Ilti e coadiuvarla \nnei suoi sforzi, fornendo anche le relative \ninformazioni, \npreparando \ndocumenti \ned \neffettuando pagamenti su conti o a terzi, se \nrichiesto dalla stessa Ilti tramite notifica.\n16.OTTEMPERANZA \nDELLE \nLEGGI; \nLOTTA ALLA CORRUZIONE \n(a) Il Cliente deve sempre ottemperare, e \nintraprendere tutte le misure ragionevolmente \nnecessarie per assicurare che i suoi partner \ncommerciali ottemperino, a tutte le leggi \ne le normative applicabili, sia locali che \ninternazionali, comprese quelle contro la \ncorruzione e l’abuso d’ufficio e a tutte le \nNormative sull’Esportazione (con particolare \nriguardo al Decreto Legislativo italiano 231\u002F01, \ncomprese le modifiche a esso introdotte di \nvolte in volta). Di conseguenza il Cliente dovrà \ncondurre la sua attività commerciale in modo \nonesto e non perpetrare atti di corruzione o di \nabuso d’ufficio. (b) Nel caso in cui Ilti ricevesse \nqualsiasi notizia di una violazione degli obblighi \nspecificati nel Paragrafo (a), il Cliente dovrà \ncollaborare con la stessa e fornirle tutte le \ninformazioni richieste per permetterle di \nverificare tali notizie; qualora fosse rinvenuta \nuna tale violazione, sarà di applicazione la \nSezione 18 \n17. SALUTE E SICUREZZA\n(a) Le Parti dovranno ottemperare a tutte le \nleggi, le regole e\u002Fo le normative applicabili in \nmateria di salute e sicurezza degli operai e\u002Fo \ndegli impiegati e, inoltre, di salute e sicurezza \ndella popolazione abitante nei pressi delle \nsedi. Il Cliente dovrà fornire, e fare il modo \nche i suoi dipendenti, agenti, appaltatori o \nsubappaltatori forniscano, degli ambienti \ndi lavoro sicuri per il Personale e gli altri \nrappresentanti e dovrà adottare le misure \nprescritte dalla legge, nonché qualsiasi altra \nmisura necessaria a prevenire gli incidenti \nsul luogo di lavoro e assicurare la salute e la \nsicurezza del Personale presso i cantieri. Il \nCliente dovrà informare tempestivamente il \nPersonale in merito alle misure di sicurezza che \nsono richieste e avvisare Ilti di tutti i requisiti e \nle procedure di salute, sicurezza, difesa e tutela \ndell’ambiente specifici di un determinato \ncantiere. Ilti ha il diritto, ma non l’obbligo, \ndi verificare e ispezionare di tanto in tanto la \ndocumentazione, le procedure e le condizioni \ndi cantiere applicabili, riguardanti la salute, la \nsicurezza, la difesa e la tutela ambientale.\n(b) Il Cliente dovrà assicurare che presso i \ncantieri non siano presenti materiali pericolosi. \nQualora fossero presenti materiali pericolosi, \nQualora, secondo la ragionevole opinione \ndi Ilti, la salute, la sicurezza o la difesa del \nPersonale o del cantiere siano, o possano essere \nmesse a repentaglio da rischi alla sicurezza, \natti terroristici o minacce, dalla presenza \ndi materiali pericolosi o dalla minaccia di \nun’esposizione a essi, ovvero a delle condizioni \ndi lavoro non sicure, la stessa Ilti, oltre agli \naltri diritti e rimedi posti a sua disposizione, \npuò evacuare una parte o tutto il Personale \ndal cantiere (con la ragionevole assistenza del \nCliente), sospendere l’esecuzione di tutto o \ndi qualsiasi parte dell’Accordo, e\u002Fo prestare \no supervisionare da remoto i Servizi (se \npossibile), senza ulteriore responsabilità verso \nil Cliente. \n",35,{"image":154,"text":155,"number":156},"\u002Fmedia\u002Fimages\u002Fd4\u002F2472db744bbf1019e382b9d4f2fe3c-26bcd6a27e.36.png","(c) Le condizioni vigenti presso un cantiere \nche differiscano in modo sostanziale da quelle \ncomunicate dal Cliente, oppure le condizioni \nfisiche che non fossero note in precedenza \nrinvenute presso un cantiere e sostanzialmente \ndiverse da quelle normalmente presenti e \nriconosciute in generale come tipiche di un \nlavoro di tale tipo, secondo quanto disposto \ndall’Accordo, \nsaranno \nconsiderate \nuna \nVariazione. \n18. VIOLAZIONE; SOSPENSIONE;\nRISOLUZIONE\n(a) Nel caso in cui: (i) il Cliente commetta \nla violazione di una qualunque disposizione \ncontenuta nell’Accordo o nelle presenti \nCondizioni, compreso qualsivoglia mancato \npagamento di qualsiasi somma, secondo le \nmodalità e nel momento in cui sia dovuta; \n(ii) secondo la ragionevole opinione di Ilti, \nsia probabile che la situazione finanziaria \ndel Cliente (o un cambiamento sostanziale \ndella situazione stessa) possano influenzare \nla sua capacità di assolvere ai propri \nobblighi \nderivanti \ndall’Accordo; (iii) sia \navviato dal Cliente o contro di lui qualsiasi \nprocedimento \ndi \ninsolvenza, \nfallimento \n(compresa la riorganizzazione), liquidazione o \ncessazione, presentato o avviato dal Cliente \n(volontariamente \no \ninvolontariamente), \nvenga nominato un amministratore fiduciario \no un liquidatore per conto del Cliente o sia \nefettuata una qualsiasi cessione a beneficio dei \ncreditori del Cliente medesimo; (iv) il Cliente \ncessi o minacci di cessare di svolgere la propria \nattività commerciale; oppure (v) il controllo \nesercitato sul Cliente o sulla proprietà del \nCliente subisca mutamenti, Ilti può dichiarare \nimmediatamente dovute e da versarsi tutte le \nsomme in sospeso di pagamento da parte dello \nstesso Cliente e può compensare qualsiasi \nsomma da essa medesimo (o da una qualunque \ndelle sue affiliate) dovuta al Cliente ai sensi \ndi qualsivoglia accordo, compreso qualsiasi \npagamento anticipato o deposito effettuato dal \nCliente, a fronte delle somme dovute ai senso \ndella Sezione 18(b). Inoltre Ilti, a sua esclusiva \ndiscrezione e tramite una notifica indirizzata \nal Cliente, può sospendere o cancellare con \neffetto immediato qualsiasi prestazione da essa \ndovuta (compresi la produzione, la consegna, \nl’installazione e il collaudo di Prodotti, gli \nobblighi ai sensi della garanzia e la prestazione \ndi Servizi) o risolvere l’Accordo o qualsiasi \nsua parte, senza alcuna responsabilità, e\u002Fo \nsospendere o cancellare qualsiasi condizione \ndi credito offerta al Cliente medesimo. Ilti \npuò fare uso del diritto di risolvere un Accordo \nsolo ai sensi della presente Sezione se, in \nriferimento a un evento di cui al Paragrafo \n(i) soprariportato che possa essere rimediato, \nil Cliente non rimedia la violazione entro \nquattordici (14) giorni, oppure, in riferimento \na un evento di cui al Paragrafo (ii), il Cliente \nnon fornisce a Ilti una garanzia bancaria o di \naltro genere che la soddisfi, entro quattordici \n(14) giorni. \n(b) Il Cliente dovrà indennizzare, difendere \ne mantenere indenne Ilti e le sue affiliate, \ncompresi i loro funzionari, direttori, agenti, \ndipendenti, successori e cessionari, da e contro \ntutte le perdite (comprese quelle di profitto \no di volume d’affari), responsabilità, spese \n(comprese quelle legali e quelle sostenute \nin relazione ai prodotti non finiti), nonché \nle spese derivanti o legate a uno qualsiasi dei \nseguenti eventi: (i) la violazione da parte del \nCliente di qualunque disposizione od obbligo \ndi cui all’Accordo o alle presenti Condizioni, \no il verificarsi di uno qualsiasi degli altri eventi \nspecificati nella Sezione 18(a); (ii) qualsiasi \nrivendicazione da parte di terzi in ordine \na qualsivoglia perdita, danno, infortunio o \ndecesso effettivamente o presuntamente \nprovocati da un uso negligente, dall’applicazione \no dall’installazione di Prodotti, ovvero cagionati \nda qualsivoglia modifica apportata ai Prodotti o \ndall’integrazione dei Prodotti in altri prodotti \nsenza l’autorizzazione di Ilti, da parte del \nCliente o dai suoi appaltatori, dai suoi agenti, \ndalle sue affiliate o dai suoi clienti a cui abbia \nvenduto i Prodotti; ovvero (iii) la mancata \nottemperanza da parte del Cliente della \nSezione 7(b), per la quale le spese conseguenti \nall’evento comprenderanno le spese totali di \nsostituzione dei prodotti, dei sistemi o di oltre \napparecchiature.\n(c) All’atto della risoluzione (anticipata) o \ndella scadenza di un Accordo: (i) tutti i diritti \ne le licenze concessi al Cliente ai sensi di tale \nAccordo cesseranno immediatamente; (ii) il \nCliente dovrà restituire, cancellare (anche da \ntutti i dischi rigidi e le memorie) o distruggere \n(e un funzionario debitamente autorizzato \ndovrà certificare tale distruzione) tutte le \ninformazioni rivelate ai sensi della Sezione 13, \ncompreso il software non integrato nei Prodotti, \npiù tutte le copie degli stessi; (iii) il Cliente \ndovrà restituire a Ilti, a proprie spese, qualsiasi \nProdotto per il quale il titolo (legale) non sia \nstato ceduto al Cliente stesso (in accordo alla \nSezione 7) e qualsiasi altro prodotto, sistema \no apparecchiatura fornita e\u002Fo utilizzata dalla \nstessa Ilti per la prestazione dei Servizi; e (iv) \nsaranno considerati dovuti, da pagarsi e non \nrimborsabili tutti i ragionevoli costi e le spese \nsostenuti da Ilti (compreso un ragionevole \nprofitto) in riferimento a qualsiasi attività \nlegata al lavoro da essa svolto prima di tale \nrisoluzione.(d) Nel caso in cui una sospensione \nperduri per più di due (2) mesi, le disposizioni \ncontenute nella Sezione 18(c)(iv) saranno \napplicabili anche a qualsiasi attività legata al \nlavoro svolto da o per Ilti precedentemente \na tale sospensione. (e) I diritti di Ilti ai sensi \ndella presente Sezione 18 saranno in aggiunta a \nqualsiasi altro diritto e rimedio che quest’ultima \npotrà avere a disposizione secondo il diritto o le \nnorme equitative. In caso di risoluzione di un \nAccordo, i termini e le condizioni destinate \na sopravvivere a tale risoluzione o scadenza \nsopravvivranno. La risoluzione non avrà effetto \nsui diritti delle Parti maturati fino alla data \ndella risoluzione stessa. \n19. LEGGE APPLICABILE E FORO\nCOMPETENTE\n(a) Tutti gli Accordi, le Offerte e le presenti \nCondizioni sono regolate dalle leggi vigenti in \nItalia, con l’esclusione del conflitto tra principi \ndi legge. Qualsiasi azione legale o procedimento \nderivante da, o in relazione a, un Accordo, \nun’Offerta o le presenti Condizioni, che non \npossano essere risolti tramite la consultazione \nin buona fede entro trenta (30) giorni dalla \nnotifica dell’una o dell’altra Parte che rende \nnota l’esistenza della controversia, saranno \nintentati esclusivamente presso i Tribunali \ndi Milano, Italia, a condizione che a Ilti sia \nsempre consentito di intentare qualsiasi azione \no procedimento contro il Cliente in qualsiasi \naltro tribunale della competente giurisdizione. \nLa Convenzione delle Nazioni Unite sui \nContratti per la Vendita Internazionale di \nMerci non sarà applicabile.\n(b) Nulla che sia contenuto nella presente \nSezione 19 sarà considerato o interpretato \ncome una limitazione del diritto spettante \nall’una o all’altra Parte, ai sensi della legge \napplicabile, di ricorrere a un rimedio ingiuntivo \no ad altra equa riparazione, intentare \nqualsivoglia azione per salvaguardare la propria \npossibilità di ricorrere contro l’altra Parte \no di intentare un’azione o un procedimento \nin relazione a qualsiasi mancato pagamento \ndi qualunque somma, nella modalità e nel \nmomento in cui sia dovuta. \n20. PRIVACY E USO DEI DATI\n(a) Ciascuna Parte dovrà ottemperare a tutte \nle leggi applicabili sulla protezione dei dati. \nFatto salvo quanto diversamente concordato \ntra le Parti, Ilti (o i suoi subappaltatori) non \nelaboreranno informazioni relative a qualsiasi \npersona fisica identificata o identificabile \n(i “Dati Personali”) per il Cliente o per suo \nconto.(b) Il Cliente prende atto e conviene \nche Ilti e le sue società affiliate (o i loro \nrispettivi subappaltatori) possono raccogliere \ninformazioni e dati generati dai Prodotti e dai \nServizi (anche riguardo a prodotti, servizi o \nsistemi di terzi, forniti in unione con i Prodotti \ne\u002Fo i Servizi) e\u002Fo il loro uso (i “Dati d’Uso”). \nIlti ha la facoltà di utilizzare i Dati d’Uso, \ngratuitamente e in qualsiasi momento nel corso \ndella vigenza di un Accordo e anche in seguito, \na sua esclusiva discrezione e per qualsivoglia \nscopo, anche aggregando o compilando i \nDati d’Uso con altri dati, creare DPI o lavori \nderivati, ovvero modificare o adattare detti \nDati d’Uso per fornire, manutendere e \nmigliorare prodotti e servizi e sviluppare nuovi \nprodotti, caratteristiche o servizi. \n21. DISPOSIZIONI VARIE\n(a) L’invalidità o l’inapplicabilità di qualsiasi \ndisposizione \ncontenuta \nnelle \npresenti \nCondizioni o in un Accordo non avrà effetto \nsulla validità o l’applicabilità di qualsiasi \naltra disposizione degli stessi e tutte le altre \ndisposizioni resteranno in pieno vigore ed \neffetto. Nel caso in cui sia rinvenuta una tale \ninvalidità o inapplicabilità, le Parti dovranno \nfare del proprio meglio per sostituire la(e) \ndisposizione(i) invalida(e) o inapplicabile(i) \ntramite la(e) disposizione(i) efficace(i) che \ncorrisponda(ano) più da vicino all’intenzione \noriginaria \ndella(e) \ndisposizione(i) \ncosì \ninvalidata(e). \nSubordinatamente \na \nuna \nragionevole notifica, il Cliente dovrà assistere \nIlti nella verifica della propria ottemperanza \ndell’Accordo.\n(b) Qualsiasi diritto di Ilti specificato nelle \npresenti Condizioni sarà senza pregiudizio \na qualsiasi diritto o rimedio che possa \nspettare a quest’ultima ai sensi dell’Accordo, \ndella legge o delle norme equitative. Il \nCliente prende atto che Ilti Luce s.r.l. , e \nqualsivoglia sua affiliata, sono da intendersi \ndei beneficiari terzi ai fini di tutti i benefici \ndi cui all’Accordo e possono applicare le \ndisposizioni di quest’ultimo, comprese le \nseguenti Condizioni, ove applicabili. La \nmancanza o il ritardo dell’una o dell’altra Parte \nad applicare qualsiasi disposizione contenuta \nnelle presenti Condizioni o in un Accordo non \ncostituirà una rinuncia a tale disposizione o alla \nsua applicazione. (c) I termini di un Accordo \n(comprese le seguenti Condizioni e qualsiasi \naltro termine e condizione che costituisca \nparte integrante delle stesse) enunciano \nl’intera intesa e l’intero accordo tra le Parti \nrelativamente alla vendita dei prodotti e alla \nprestazione dei Servizi di cui all’Accordo \nstesso e supereranno qualsivoglia precedente \npromessa, pattuizione, dichiarazione, impegno \no implicazione, sia orali che scritti, tra Ilti e \nil Cliente in riferimento al suo oggetto. Le \nParti prendono espressamente atto che, \nnella stipula di un Accordo, non è stato fatto \naffidamento su alcuna dichiarazione che non \nsia stata inserita nell’Accordo stesso. Non sarà \nvincolante per le Parti alcuna modifica a un \nAccordo se non avrà forma scritta e se non sarà \nsottoscritta da un rappresentante autorizzato \ndi ciascuna delle Parti.\n(d) I prezzi e i termini sono subordinati alla \ncorrezione di eventuali errori tipografici o di \ntrascrizione. \n22. TRACCIABILITÀ DEI FLUSSI\nFINANZIARI\n(a) Se un appalto pubblico è aggiudicato a \nuna delle Parti (“aggiudicazione di procedura \nad evidenza pubblica”), ai sensi dell’Articolo \n3 della Legge italiana 136\u002F2010, comprese \nle modifiche di volta in volta apportate, le \nParti si assumono tutti gli obblighi riguardanti \nla tracciabilità dei flussi finanziari; in caso \ncontrario, il presente accordo sarà considerato \nnullo e invalido. (b) Inoltre, le Parti si \nimpegnano a notificare all’autorità appaltatrice \ne alla competente “Prefettura – Ufficio \nTerritoriale” qualsiasi mancato assolvimento \ndegli obblighi menzionati nel
