Les frais afférents à cette \nprestation sont à charge du vendeur lorsque le montant de la \ncommande, acceptée par la Société FORESTIER, à livrer sur un \nmagasin ou un entrepôt est supérieur au franco de 500 Euros \nHT. Les méthodes de colisage, conditionnement et groupage \nsont celles en vigueur au sein de la Société \nFORESTIER. \nLes frais de transport sont à la charge de l’acheteur au cas où \nle franco n’est pas atteint. Une participation forfaitaire aux frais \nde transport de 30 Euros HT est appliquée en pied de facture \npour toute commande acceptée à livrer sur magasin dont le \nmontant  est compris entre le minimum de commande de 300 \nEuros HT et le Franco de 500 Euros HT. Le fait  que l’acheteur \nprenne en charge le transport à hauteur de 30 Euros HT n’en-\ntraîne   de convention expresse entre les parties et sauf accord \ncontraire du vendeur   aucune réduction du tarif de vente ap-\nplicable. \nEn cas de rendez-vous de livraison, une plage horaire d’au \nminimum 4 heures tant sur magasin que sur entrepôt doit être \nallouée au transporteur pour tenir compte des aléas de cir-\nculation. \nQuel que soit le mode de livraison retenu et le lieu de livraison \narrêté, l’acheteur supporte pleinement les risques pouvant sur-\nvenir aux marchandises dès leur délivrance par le vendeur. \nLa délivrance est considérée comme le moment où la mar-\nchandise entreposée en les locaux du vendeur est remise au \ntransporteur aux fins d’être livrée ou remise à l’acheteur en \ncas de livraison départ usine ou lors de la présentation des \nmarchandises par le transporteur en cas de livraison Franco. \nIl appartient, en cas d’avarie et\u002Fou perte, à l’acheteur de \nfaire toute réserve dans les 2 jours qui suivent la réception des \nmarchandises et de signifier par courrier Recommandé AR le \nlitige auprès des transporteurs utilisés par la société FORESTIER \nlorsque le transport est assuré par le vendeur. Seul le respect \nde cette procédure permet l’avoir sur les produits endomma-\ngés ou le remplacement de ces derniers par la société FO-\nRESTIER. Le produit endommagé lors du transport n’est pas un \nproduit manquant à la livraison, mais un produit livré et facturé \nqui, lorsque la procédure déclarative est respectée, fait l’objet \nd’un remboursement ou d’un remplacement et ce au choix \nde la société FORESTIER. L’acheteur ne peut se prévaloir d’une \navarie de transport pour considérer que le Vendeur n’a pas \nrespecté ses engagements. \n \nLes délais de livraison ou de délivrance sont donnés à titre in-\ndicatif, tout dépassement de ces délais ne peut donner lieu au \nprofit de l’acheteur à annulation de commande. Les pénalités \néventuelles pour  défaut de taux de service ne peuvent s’ap-\npliquer que dans les conditions de l’article 9. \n \nLes modalités de transport et le coût afférent à cette prestation \npour des livraisons situées en dehors de la France Métropo-\nlitaine seront arrêtés par les parties lors de la prise de com-\nmande.  \nPar ailleurs, la force majeure ou le cas fortuit libère la Société \nFORESTIER de tout engagement de livraison. Il appartiendra à l’acheteur de fournir \ntoute justification quant à la réalité des vices ou anomalies \nconstatés. Il devra laisser au vendeur toute faculté pour pro-\ncéder à la constatation de ces vices. Ces produits \nsont livrés dans la mesure où ils sont disponibles sur stock, la \nSociété anticipant des lancements en approvisionnement et \nfabrication par rapport à des potentiels de marché. \nLa Société n’accepte aucune pénalité liée à une notion de \ntaux de service, qui n’aurait pas fait l’objet d’un accord pré-\nalable avec l’acheteur, accord qui préciserait notamment \nla liste des produits concernés, les prévisionnels de consom-\nmation émis par l’acheteur et dont le calcul respecterait la \nméthode de calcul définit dans le Code de Bonne Conduite \ndes Pratiques Commerciales entre Professionnels du Bricolage \nAnnexe IV signé le 22 avril 2005 entre la F.M.B. et l’UNIBAL.  \n \nARTICLE 10 \nLes factures sont payables à Bordeaux. Le règlement doit être \neffectué sur facture proforma, ou le cas échéant, après ac-\ncord préalable de la Société Forestier, à la date d’échéance \nprévue conformément aux négociations commerciales. La \npremière commande doit être confirmée par le paiement \nd’un acompte de 30% : elle est payable sur facture proforma \n: le solde devant être réglé avant l’expédition de la marchan-\ndise.\nAu cas de règlement dans les 10 jours à compter de la date \nd’émission de la facture, il sera consenti un escompte de 1 \n% calculé sur le montant net hors taxe indiqué sur la facture \nauquel il se rapporte   le règlement s’entendant de la totalité \nde la somme due. \nToute somme non réglée à l’échéance donnera lieu de plein \ndroit et sans nécessité de mise en demeure préalable au ver-\nsement de pénalités de retard calculées sur le montant de \nla somme restant due, au taux de trois fois le taux de l’inté-\nrêt légal en vigueur. En outre et conformément au décret n° \n2012 1115 du 2 octobre 2012, une indemnité forfaitaire de re-\ncouvrement de 40 € sera due par l’Acheteur en cas de retard \nde paiement de toute créance dont le délai de paiement aura \ncommencé à courir après le 1er janvier 2013. \nCes intérêts et pénalité forfaitaire de 40 € courent du lende-\nmain de l’échéance jusqu’au paiement intégral du montant \ndû. Par ailleurs, le non-paiement d’une seule facture rend \nimmédiatement exigible de plein droit le montant des autres \nfactures restant dues à la Société FORESTIER  l’ensemble des \nsommes en cause produisent immédiatement intérêt selon les \nmodalités définies au présent alinéa. \nLa facture est considérée comme réglée lorsque le montant \nqui y figure est crédité sur le compte bancaire de la Société \nFORESTIER. \nToute déduction et\u002Fou compensation sont exclues sauf ac-\ncord préalable et express de la Société FORESTIER. En cas de \ndéduction ou de compensation abusive par l’Acheteur, une \npénalité sera calculée sur les montants abusivement déduits \nselon la méthode de calcul des pénalités de retard de paie-\nment prévues au présent article. \n \nARTICLE 11 \nEn cas de retard de paiement   et sans préjudice de l’appli-\ncation du principe cité à l’article 8 des présentes   le vendeur \npourra de son propre gré :  \n• \nsuspendre ses obligations concernant la com-\nmande visée par le retard ainsi que toutes les commandes en \ncours jusqu’à complet règlement des sommes que l’acheteur \nreste lui devoir.\n• \nrésilier de plein droit la vente  le vendeur pou-\nvant demander en référé la restitution des marchandises qui \nen sont l’objet sans préjudice du versement de tout dommage \nintérêt à ce titre. \nCette résiliation frappera non seulement la commande en \ncours mais aussi  si le vendeur le souhaite  toutes les com-\nmandes  impayées antérieures ou à venir, qu’elles soient li-\nvrées ou en cours de livraison et que leur paiement soit échu \nou non. L’acheteur devra rembourser l’ensemble des frais \noccasionnés par le recouvrement contentieux des sommes \ndues. Les acomptes versés par l’acheteur seront conservés \npar le vendeur. \n \nARTICLE 12  \nToute détérioration du crédit de l’acheteur, non-respect par ce \ndernier des conditions d’encours précisées le cas échéant par \nla Société FORESTIER et de façon générale toute modification  \nquelle qu’en soit l’origine de la situation de l’acheteur   pourra \njustifier de convention expresse entre les parties  l’exigence de \ngarantie et\u002Fou de modalités de paiement particulières fixées \npar le vendeur, voire le refus par la Société FORESTIER de don-\nner suite aux commandes faites par l’acheteur. \nARTICLE 13 \nLes marchandises, objet du présent contrat, sont vendues \navec une clause subordonnant expressément le transfert de \nleur propriété au paiement intégral du prix en principal et ac-\ncessoires. \n \nIl est toutefois entendu que la simple remise d’un titre créant \nune obligation à payer, traite ou autre, ne constitue pas un \npaiement au sens de la présente clause, la créance originaire \ndu vendeur sur l’acheteur subsistant avec toutes les garanties \nqui y sont attachées, y compris de la réserve de propriété \njusqu’à ce que ledit effet de commerce ait été effectivement \npayé conformément à l’article 10 des présentes conditions \ngénérales de vente. \nLes dispositions ci-dessus ne font pas obstacle dès la livraison \ndes marchandises au transfert à l’acheteur des risques de \nperte ou de détérioration des biens soumis à réserve de pro-\npriété ainsi que des dommages qu’ils pourraient occasionner. \nL’acheteur devra souscrire une assurance garantissant les \nrisques nés à compter de la délivrance des marchandises. \nEn cas de saisie-arrêt, ou de toute autre intervention d’un tiers \nsur les marchandises, l’acheteur devra impérativement en in-\nformer le vendeur sans délai afin de lui permettre de s‘y  oppo-\nser et de préserver ses droits. \nL’acquéreur s’interdit en outre de donner en gage ou de céder \nà titre de garantie la propriété des marchandises. \nL’acheteur est autorisé, dans le cadre de l’exploitation nor-\nmale de son établissement, à revendre les marchandises, ob-\njet du présent contrat.  Toutefois, il s’oblige de façon préalable, \nen cas de revente, au choix du vendeur, à régler immédia-\ntement le solde du prix restant dû au vendeur ou à informer \nles sous-acquéreurs que lesdites marchandises sont grevées \nd’une clause de réserve de propriété et à avertir le vendeur \nde cette cession afin qu’il puisse préserver ses droits, et le cas \néchéant, exercer une revendication sur le prix de revente à \nl’égard du sous-acquéreur. \nToute violation de ces dispositions pourra entraîner la cessa-\ntion de la relation commerciale, le remboursement immédiat \npar l’acquéreur de toutes les sommes dues, sans préjudice du \nversement de tous dommages intérêts au titre de la propriété \nindustrielle et\u002Fou intellectuelle. \n \nARTICLE 14 \nLe vendeur peut autoriser l’acquéreur à apposer et mention-\nner sa (ses) marque(s), son (ses) dessin(s) et son (ses) logo(s) \nlui appartenant ou dont il a juridiquement la jouissance, sur \nses campagnes de promotion, exclusivement sur les produits \ndu vendeur, et ce sur tout support, approuvé par écrit par le \nvendeur, à la condition que cette promotion ou commerciali-\nsation soit directement faite par l’acquéreur et non par un tiers. \nL’utilisation de la (des) marque(s), de son (ses) dessin(s) et \ndu (des) logo(s) du vendeur n’est autorisé qu’à l’acquéreur \ndans les conditions stipulées ci-dessus, qui devra se confor-\nmer strictement aux indications et prescriptions qui lui auront \nété données par le vendeur. Cette autorisation d’utilisation ne \nconfère à l’acquéreur aucun droit sur la propriété de la (des) \nmarque(s), du (des) dessin(s) et du (des) logo(s) du vendeur. \nL’acquéreur devra veiller à ce que les informations sur les pro-\nduits estampillés de la (des) marque(s) et du (des) logo(s), qui \nauront fait l’objet d’une communication commerciale, soient \nsincères et réelles afin de ne pas porter atteinte à l’image et à \nla réputation du vendeur. \nL’acheteur devra vérifier la véracité des informations divul-\nguées sur les produits et notamment quant à leurs caractéris-\ntiques, prix et disponibilité. \n \nARTICLE 15 \nPour permettre une optimisation des ventes de l’acquéreur, le \nvendeur peut mettre à sa disposition des visuels et documents \ntechniques sur ses produits. La fourniture de ces visuels et do-\ncuments techniques a pour objectif de permettre à l’acqué-\nreur de mettre en place une communication et une promotion \nde qualité, conformes aux produits vendus, à la notoriété du \nvendeur et à sa stratégie commerciale. L’acquéreur s’engage \nà n’utiliser ces visuels et documents techniques qu’avec l’ac-\ncord exprès du vendeur, et sur des supports de communica-\ntion approuvés par le vendeur. \nLes produits, marques, dessins, modèles, représentations \nvisuelles et logos, mis ainsi en avant à travers l’utilisation de \nvisuels et documents techniques mis à la disposition de l’ac-\nquéreur, restent la propriété industrielle et\u002Fou intellectuelle \ndu vendeur, conformément à l’article 14. Toute utilisation des \nvisuels et des documents techniques par des tiers ou non \nconforme aux dispositions des présentes, est interdite. \n \nARTICLE 16 \nA défaut d’accord amiable, il est convenu expressément entre \nle vendeur et l’acheteur que seront seuls compétents en cas \nde litiges de toute nature, contestation ou difficulté d’interpré-\ntation des présentes, les Tribunaux dans le ressort duquel est si-\ntué le domicile du vendeur même en cas d’appel en garantie \nou de pluralité de défendeurs. \nARTICLE 1\nThese general conditions of sale constitute the general regime \ngoverning FORESTIER’s sales. They cancel and replace those \nthat may have been distributed earlier by this Company.\nNo special condition and\u002For exception can, except where the \nvendor agrees to it formally and in writing, take precedence \nover these general terms and conditions.  The fact that the \nvendor does not take advantage of one of these general \nconditions of sale at any given moment, should not be inter-\npreted as implying that it has renounced taking advantage of \none of these conditions at a later date.\nARTICLE 2 \nAny order taken only becomes definitive to the extent that it \nis not rejected by FORESTIER within a period of 10 days as from \nreceipt of the order by the vendor. As a result of this, FORESTIER \nreserves the right not to act on commitments made by its re-\npresentatives or employees. By express agreement of the par-\nties, failure on the part of the vendor to enter into a contract \ncannot lead to damages of any sort being payable to the \npurchaser. The benefit of the order is personal to the purchaser \nand may not be transferred without the vendor’s agreement.\nARTICLE 3 \nThe vendor reserves the right at its own initiative alone, to make \nminor modifications, in particular concerning the shape, color, \ndimensions or materials used in the collections it has presented, \nwhatever the advertising channel used, that do not compro-\nmise the appearance of the product.\nAs far as specific orders are concerned - by this is meant orders \nfor goods that are not part of the collection offered by the \nvendor - the terms of the offer made by FORESTIER relate ex-\nclusively to the terms of the quotation prepared by the latter. In \ncase of necessity, the vendor retains the option of substituting \ngoods that it deems to be of equivalent quality. This offer will \nbe valid for the period specified within the offer as determined \nby the vendor.\nARTICLE 4 \nIn the light of market fluctuations:\n• Prices are only valid for the period indicated in this docu-\nment. The firm and final price is the price in force on accep-\ntance of the order by the vendor.\n• Goods sold (both as far as initial orders and resupplying are \nconcerned) will only be supplied within the limits of available \nstock - the purchaser, recognizing and accepting the prin-\nciple, and as a consequence agreeing not to initiate any \nproceedings against the vendor in this context.\nUnder no circumstances may the purchaser rely on standards, \nspecifications, requirements, regulations and normal practice \nnot specifically accepted by the vendor.\nIn the case of transactions involving large quantities not nor-\nmally kept in stock, the delivery deadline must be agreed by \nthe parties and as a minimum will be four months as from the \ndate of receipt of the order.\nARTICLE 5\nAll prices issued by FORESTIER are net prices. Any discount lin-\nked to a quantity or a promotion, etc. must be the subject of \na prior written agreement between the vendor and the pur-\nchaser.\n \nARTICLE 6\nThe methods of parceling, packaging and grouping are those \nin force within the FORESTIER Company.\nThe transport is settled by the INCOTERMS 2010 (International \nCommercial Terms of 2010).\nWhatever the method of delivery selected and the place of \ndelivery chosen, the purchaser bears full responsibility for all \nrisks to which the goods may be subject from their release by \nthe vendor. Release is considered as being from the time when \nthe goods stored in the vendor’s premises are handed over to \nthe transport company for the purpose of delivery or handed \nover to the purchaser in case of delivery ex-works, or on pre-\nsentation of the goods by the transport company in case of \ndelivery carriage paid. In case of damage and\u002For loss, it is the \npurchaser’s responsibility to express its concerns within 2 days \nof receipt of the goods and to inform the transport company \nused by FORESTIER of the dispute by registered letter with a \nform for acknowledgement of receipt when transport is pro-\nvided by the vendor. Only compliance with this procedure will \nenable FORESTIER to issue a credit for the damaged goods or \nreplace them. Products damaged during transport are not \nproducts missing from the delivery, but products delivered and \ninvoiced which, when the declaration procedure is complied \nwith, are subject to reimbursement or replacement at FORES-\nTIER’s discretion. The Purchaser may not rely on damage du-\nring transport to hold the Vendor responsible for not complying \nwith its commitments.\nDelivery or release deadlines are given as an indication only, \nand when these deadlines are exceeded, this does not give \nthe purchaser the right to cancel the order. Any penalties for \na service rate failure can only be applied under the terms of \narticle 9.\nThe method of transport and the costs relating to this service \nfor deliveries outside mainland France will be decided by the \nparties when the order is taken. \nIn addition, force majeure or circumstances outside its control \nreleases FORESTIER from all delivery commitments. All causes \nnot-attributable to the vendor impeding or halting manufac-\nturing and\u002For delivery or its suppliers’ manufacturing and\u002For \ndelivery are considered as cases of force majeure or circums-\ntances outside FORESTIER’s control.\nARTICLE 7\nWithout prejudice to the procedure to be followed in relation \nto the transport company, complaints concerning obvious \nfaults or concerning the non-conformity of the product de-\nlivered must be expressed in writing and sent to the vendor \nwithin 2 days as from delivery of the goods. It is the purchaser’s \nresponsibility to supply evidence as to the reality of the defects \nor faults observed. The purchaser must give the vendor every \nopportunity to ascertain the nature of these faults. The pur-\nchaser must in addition, except where previously specifically \nagreed by the vendor in advance, refrain from carrying out \nany work on the goods that are subject to dispute either itself \nor via a third-party.\nNo goods can be returned without the written agreement of \nthe vendor and acceptance of such goods does not imply re-\ncognition of liability by the latter. All products returned without \nsuch agreement will remain available to the purchaser and \nwill not give rise to the creation of a credit. The expenses and \nrisks inherent to the return of goods are always the purchaser’s \nresponsibility.\nIn any case, FORESTIER’s liability, to the extent that it is incurred, \nis strictly limited to the obligation to replace or reimburse the \ndefective and\u002For non-compliant goods as stated in this article.\nARTICLE 8\nPackaging is not taken back by the vendor, its cost being, ex-\ncept where there are special conditions to the contrary, an \nintegral part of the price quoted to the purchaser. These prices \ncannot however cover special packing procedures requested \nby the purchaser and accepted by the vendor.\nIn the absence of any special indications, the packaging is \nprepared by the vendor - packaging carried out by FORESTIER \nbeing fully approved by the purchaser, the latter as a result un-\ndertakes to release FORESTIER from any proceedings directed \nagainst it on this basis. \nARTICLE 9\nFORESTIER offers quality decorative products for sale linked to \ndecorating trends. These products are supplied to the extent \nthat they are available in stock, the Company anticipating \nthe launch of procurement and manufacturing in relation to \nmarket potential.\nThe Company accepts no penalties linked to a concept of \nservice rate, that are not part of a prior agreement with the \npurchaser, an agreement that should in particular specify a \nlist of the products concerned and consumption forecasts is-\nsued by the purchaser and the calculation of which complies \nwith the method of calculation defined in the Code of Good \nConduct for Commercial Practice between Professionals in \nthe Decorating Trade Appendix IV signed on 22 April 2005 by \nF.M.B. and UNIBAL. \nARTICLE 10\nAll invoices are payable at our head office, Bègles. All orders \nare payable on proforma invoice. A deposit of 30% of the to-\ntal amount of the order is requested to confirm the order. The \npayment is settled by bank transfer.\nWhere payment is made within 10 days of the date the invoice \nis issued, a discount of 1% will be granted calculated on the \nnet amount ex VAT shown on the invoice to which it relates - \npayment meaning payment of the whole amount due.\nAny amounts not settled when they become due will auto-\nmatically and without the need for prior official notification \ngive rise to late payment penalties calculated on the amount \nremaining due, at three times the legal interest rate in force \nat the time. Moreover and in accordance with the decree \nn°12012-1115 dated on 2nd October 2012, a fixed collection \ncompensation of 40€ will be owed by the purchaser in case \nof delay in payment of any debt whose term payment would \nhave begun after the 1st January 2013. \nInterest and fixed collection compensation of 40€ are incurred \nfrom the day following the due date until full payment of the \namounts due. In case \nof improper deduction or set-off made by the purchaser, a pe-\nnalty will be calculated on the improperly deducted amounts \naccording to the calculation method of the late payment pe-\nnalties as stated in this article.  \nARTICLE 11\nIn circumstances of late payment - and without prejudice to \nthe application of the principle described in article 8 of this do-\ncument - the vendor may at its own discretion: \n• Suspend its obligations concerning the order affected by the \ndelay as well as all current orders until all sums owed it by the \npurchaser are paid in full.\n• Cancel the sale automatically - the vendor being able to \nseek an interim injunction for the return of the goods involved \nwithout prejudice to the payment of any damages in this respect.\nThis termination will not only affect the current order but also - \nshould the vendor so wish - all previous or future orders not paid \nfor, whether they have been delivered or are in the course of \ndelivery and whether payment for them is due or not. The pur-\nchaser must reimburse all the costs incurred by the contentious \nrecovery of the sums due. Advance payments made by the \npurchaser will be retained by the vendor.\nARTICLE 12 \nAny deterioration in the credit-worthiness of the purchaser, \nnon-compliance by the latter with the terms of current business \nspecified if need be by FORESTIER and in a general manner \nany change in the purchaser’s circumstances whatever the \ncause, may justify by specific agreement by the parties, the \nrequirement of a guarantee and\u002For special payment proce-\ndures specified by the vendor, even the refusal by FORESTIER \nto proceed with orders placed by the purchaser.\nARTICLE 13\nAll our sales are subject to retention of title until full payment of \nthe price by the purchaser. Therefore, the transfer of ownership \nto the purchaser of the goods supplied is subordinated to the \neffective payment of the entire price, principal, interest and \nincidental expenses included.\nIt is however understood that the simple handover of an order \ncreating an obligation to pay, whether a bill of exchange or \nother such instrument, does not constitute payment within the \nmeaning of this clause, the vendor’s original debt in relation to \nthe purchaser remaining with all the guarantees attaching to \nit, including reservation of title, until the aforesaid commercial \nbill has effectively been paid in accordance with article 10 of \nthese general conditions of sale.\nThe above provisions do not constitute an impediment, on de-\nlivery of the goods, to the transfer to the purchaser of the risks \nassociated with the loss or deterioration of the goods subject \nto reservation of title as well as any damage they may cause.\nThe purchaser must take out insurance cover for the risks that \narise as from the delivery of the goods.\nAs long as the goods have not been paid for in full, the purcha-\nser must keep the goods supplied in respect of this contract \nseparate and must not mix them with other goods of the same \ntype originating from other suppliers. Should the purchaser fail \nto keep the goods separate, the vendor may require reimbur-\nsement or take back those still in stock.\nIn case of seizure, or any other intervention by a third-party in \nrelation to the goods, the purchaser is duty bound to inform \nthe vendor without delay, allowing the vendor to oppose the \nseizure and preserve its rights.\nThe purchaser must in addition refrain from pledging or trans-\nferring ownership of the goods as a guarantee.\nThe purchaser is authorized, in the context of the normal ope-\nration of its establishment, to resell the goods that are the sub-\nject of this contract. However prior to selling them, it is obliged, \nat the vendor’s discretion, to pay the balance of the price still \nowing to the vendor immediately or to inform the sub-purcha-\nsers that the goods in question are subject to a clause of reser-\nvation of title and to advise the vendor of this transfer so that \nit can preserve its rights, and if need be, make a claim on the \nresale price with regard to the sub-purchaser.\nARTICLE 14\nFailing an amicable agreement, the vendor and the purcha-\nser specifically agree that all disputes, difficulty in interpreta-\ntion, termination, consequences, and repercussions of the \npresent terms, shall be subject to the jurisdiction of the court of \nour registered office, even in the case of multiple defendants \nor introduction of third parties.
